Overview:
A Venture Capital & Private Equity Company is expanding its legal department and is looking for a corporate lawyer with 5+ years of experience working in the areas of domestic and cross-border project development and project finance to join A Venture Capital & Private Equity Company in the role of Senior Counsel.

The Senior Counsel will be a key member of the legal team, reporting to the General Counsel. The successful candidate will work closely with various internal business groups and will directly provide legal support for complex business transactions and in negotiating critical contracts. The primary focus of the role will be to plan, conduct and supervise the legal work on the firm's energy projects, leading negotiations where needed, working with outside counsel and consultants, liaising with governmental agencies and stakeholders. The position will involve decision-making, management and reporting related to complex legal matters, assessing both legal and business risks and advising accordingly.

Responsibilities:
  • Drafting and negotiating complex energy project contracts with providers of engineering and engineering management services, construction and construction management services, offtakers, O&M service providers, procurement, equipment supply, and other project-related contracts, including purchaser orders.
  • Drafting and negotiating complex contracts related to technology development, including consulting agreements, joint technology development agreements, engineering services agreements, grant funding agreements, licensing agreements.
  • Drafting and negotiating agreements related to day-to-day business activities, including nondisclosure agreements, commercial contracts, letters of intent, memoranda of understanding, and term sheets.
  • Communicating legal issues and options to other business development, engineering, marketing and operations departments, identifying legal risks and advising on risk mitigation strategies.
  • Supporting corporate functions of the business, such as managing corporate entities, preparing board materials, and preparing government filings.
  • Managing outside counsel teams' scope, schedule and spending against budget.
  • Legal research and drafting memos to aid in general counsel and other executive decision-making.

Essential Skillset, Education/Qualification, Certification Attainment
  • Extensive background and training in the areas of practice identified above.
  • 3-6 years of experience in private practice at an AM LAW 100 firm or similar or in an in-house practice with the required focus.
  • Experience with major energy projects a considerable plus.
  • Experience with proprietary technologies and intellectual property management also a plus.
  • Strong professional leadership and team building capabilities. Strong analytical and management skills.
  • Ability to assume increasing responsibilities and grow in position.
  • An intellectually motivated and highly adaptable individual.
