Responsibilities:
  • As Senior Corporate Counsel or Director - M&A and Integration (title will depend on experience), you will be a key member of our M&A deal team.
  • You will work on the due diligence, negotiation, and integration of acquisitions and other strategic transactions, helping to coordinate and drive the due diligence process in collaboration with other cross-functional legal and business teams within ServiceNow, including communication regarding deal status and diligence findings, working collaboratively to assess and mitigate legal and business risks and anticipate and solve operational issues, and helping to document the results of due diligence and develop our strategy and plan for integration.
  • You will work on integration-related projects, working closely with other legal and business teams within ServiceNow to ensure a seamless integration of newly acquired entities, businesses and assets.
  • You will help document and improve our policies, processes, and procedures around deal execution and integration, and work to find ways to leverage new uses of technology and shared services to improve our processes and ability to scale.

Qualifications:
  • Law degree and appropriate professional membership (in U.S state bar, or appropriate European equivalent).
  • 6+ years relevant experience working at a major law firm and/or in-house.
  • Strong base of knowledge, experience, and skill in M&A, including both deal execution and integration.
  • Exceptional problem-solving skills, business acumen, and practical judgment.
  • Collaborative and flexible, with excellent interpersonal skills.
  • Proactive and organized, with keen attention to detail.
  • Excellent verbal and written communication skills, able to communicate complex information and issues efficiently and effectively.
