A role you will love:
The Senior Corporate Counsel for Corporate Services reports directly to the Global Legal Head of Corporate Services. The Global Corporate Services team, as a global corporate legal function, provides legal support and solutions across Mergers and Acquisitions, Real Estate, Finance and Treasury, Internal and External Audit, Intellectual Property and other corporate strategic initiatives.

Key Responsibilities:
The role holder will work closely with the Group Corporate Development function, Finance (including in particular Treasury, Corporate Tax and Facilities), Internal Audit and other shared services functions, Business Unit personnel and designated lawyers, both Business Unit aligned and Corporate.

Key Accountabilities:
  • Provide legal advice, coordination and solutions on M&A transactions (from deal conception and planning, through due diligence, transaction negotiation and signing, closing and integration), internal reorganizations, strategic initiatives, facilities leases and other corporate real estate matters, bank and financing agreements and other corporate treasury matters, and intellectual property matters, as well as support for the Audit function, including client and external.
  • Deliver pragmatic, timely and high-quality legal advice and solutions.
  • Anticipate, identify and communicate issues of legal concern.
  • Keep informed of legislative and regulatory proposals to proactively identify policy, legal and regulatory matters pertaining to an area of expertise and evaluate the legal risk and impact.
  • Where appropriate, instruct, retain and manage outside counsel.
  • Adhere to the legal governance framework, policies, systems, standards and procedures in all aspects of work.
  • Keep abreast of market and legal developments on corporate services areas to educate and provide awareness to the business and business line lawyers.
  • Champion and promote integrity and ethical decision-making in the business.

What will you bring to the role?
To be successful as a lawyer within the Global Corporate Services team you will have experience working on mergers, acquisitions, real estate transactions and treasury matters. The role will not have direct management over others; however, it will be required to demonstrate a collaborative and proactive approach and to coordinate cross-functional teams.

Additional Requirements:
  • Technical skills in merger and acquisition transactions, with hands-on experience executing deals.
  • Desire to work within a commercial environment, and be business minded.
  • Ability to work both independently and in a collaborative environment as part of a wider team.
  • Experience working within a global team and ability to work with stakeholders across the globe will be highly beneficial. This will sometimes require calls out of standard hours.
  • At least two years of relevant legal experience and a license to practice law in at least one applicable state jurisdiction.
