Position Summary:
Provides legal advice on a broad range of matters; collaborates with clients to develop solutions that meet the needs of the business while minimizing legal risk; and minimizes costs with a specific emphasis on Contract and Governance legal matters.

Major Responsibilities:
  • Handles legal matters related to the following subject areas (or other legal matters referenced above) as the first-level counsel receiving professional guidance and oversight from more senior attorneys in the department.
    • Contracts: Manages, prepares, and negotiates domestic low- to medium-risk contracts of varying complexity (including NDAs, event contracts, amendments, SOWs, and engagement letters). Supports senior contract counsel as needed. Provides the business with strategic business advice and counseling relating to the negotiation and handling of third party contract matters.
    • Governance: Manages, prepares, and assists with various domestic low- to medium-risk governance issues of varying complexity (including preparing certain SOA committee and sub-committee charters, assisting with Executive Committee reporting and gathering information for annual Board/Shareholder reporting, licensing, etc.). Assists with matters relating to SOA's organizational structure and governance (including state filings, corporate resolutions). Assists more senior counsel with governance matters as needed basis.
  • Develops and provides training to clients on assorted legal topics in area of responsibility, as needed.
  • Spots issues across multiple lines of business and identifies the requisite subject matter expert whose counsel is required.
  • Serves as back up to other practice areas, as needed.

Required Skills and Personal Qualifications
  • Juris Doctorate from ABA-accredited law school and admission to Bar of at least one state and In-House bar of New Jersey.
  • Beginner to intermediate knowledge of subject areas of work concentration.
  • Excellent verbal and written communication as well as business judgment, agility, and problem-solving, analytical, organizational, and negotiating skills with demonstrated ability to achieve results.
  • Relevant experience with demonstrated success in an in-house legal department, law firm or government practice.
  • Team-oriented with excellent interpersonal skills, collaborative approach, and ability to provide cross-functional integration.
  • Intellectual Property, Technology, and Data Privacy and Security Contract and Counseling Experience Preferred

Education/Certification/Experience Requirements: Juris Doctorate from ABA accredited law school, admission to Bar of at least one state, and In-House bar of New Jersey. 2 to 4 years of relevant experience is required.

Work Environment:
  • Hybrid Role: Remote work 2 days per week (After 90 Days Onboarding)
  • Travel Required: 5-15%
