Job Summary: The General Counsel will provide legal advice and support to the Healthcare Lending team with a primary focus on healthcare lending related products.

Duties and Responsibilities:
  • Maintain familiarity with healthcare lending-related activities and provide legal and regulatory consultation and advice on a wide range of commercial loans and practices
  • Support internal lending staff in connection with business development and borrower engagement through negotiating and drafting agreements and transactions
  • Engage in legal research and industry monitoring related to new and emerging lending related products and assist management in evaluating the risks and opportunities within the marketplace
  • Interpret statutes, regulations, supervisory guidance, enforcement trends and case law developments applicable to lending business activities
  • Collaborate with the compliance, audit and risk management staff on legal and regulatory matters impacting the lending function escalation and remediation of issues as they arise
  • Effectively interface with external auditors and regulators and be a positive advocate for the company and its business plan and strategic initiatives
  • Oversee the work of outside counsel in connection with any outsourced loan-related legal work
  • Maintain a working knowledge of applicable state and federal banking laws and regulations as well as corporate and commercial laws and regulations relevant to consumer lending and commercial lending
  • Collaborate with other members of the Legal Department in managing legal projects and provide reporting to management on the status of legal projects and strategic initiatives as needed
  • Perform other duties as assigned

Qualifications:
  • Law degree from an accredited law school required
  • 10+ years law firm or in-house corporate legal / financial services industry experience required, with demonstrated success in working with business teams of varying organizational levels to achieve business goals
  • Healthcare Lending experience preferred
  • License to practice law (in good standing)
  • Familiarity with and/or subject matter expertise in:
    • Laws and regulations impacting consumer and commercial lending transactions as well as ancillary relevant laws
    • Laws and regulations focused on financial crimes prevention, including the Bank Secrecy Act and related Anti-Money Laundering requirements (e.g., CIP/KYC requirements) and regulations of the Office of Foreign Assets Control (OFAC)
    • Familiarity with laws and regulations impacting the regulation of federally insured depository institutions
    • Familiarity with laws and regulations impacting commercial banking transactions, including the ability to engage in legal research in order to maintain knowledge of commercial and banking laws and regulations
  • Ability to interface (both orally and in writing) with senior executives, business unit management and staff, state and federal regulators and officials, outside counsel, and significant business partners
  • Ability to work with highly confidential and sensitive business information and to maintain high standards of confidentiality
  • Ability to work independently and in a team environment to achieve department goals and objectives
  • Ability to manage multiple and/or shifting priorities, and produce professional and accurate work product, sometimes under time constraints
  • Proficient in Microsoft Office suite, e.g. Excel, PowerPoint, Word, Outlook
