An International Complex Litigation Law Practice Firm seeks an Associate in Boston, MA. As part of the Finance and Real Estate practice group, advise and represent clients on a variety of finance transactions including but not limited to complex multi-jurisdictional transactions related to commercial real estate finance with concentrations in origination, acquisition, syndication and disposition of mortgage loans, mezzanine financing and loan sales. Prepare, review and conduct legal due diligence including summarizing lease agreements, reciprocal easement agreements and other similar agreements; draft loan and transaction documents for loan origination deals and repurchase facilities; draft and review legal opinions for real estate finance transactions; review organizational documents for loan origination transactions; draft and review estoppels for loan origination transactions; draft and update checklists for finance transactions. Prepare and execute tasks related to closing transactions, and supervise paralegals and other junior associates on large transactions. Assist partners and senior associates in pro bono legal assignments and participate in firm activities and communities, including legal and community organizations and/or functions as needed. Requirements:
  • J.D. from an accredited U.S. law school; and the following:
  • 2 years experience handling complex structured finance and real estate transactions by representing clients on complex multi-jurisdictional transactions related to asset-backed finance and collateralized loan obligation securitizations;
  • 2 years experience representing clients in asset finance securitization, collateralized loan obligations, commercial mortgage-backed securities, and real estate market transactions;
  • 2 years experience preparing legal opinions and reviewing complex transaction documents, including offering memorandum, deal management, and transaction documents.
