A Tax, Business, Estates, Law Firm seeks a highly qualified and experienced business transactional attorney to join our legal team. Frost Law is a fast growing full service law firm in Annapolis, Maryland and has an immediate opening for a business transactional attorney to handle the firm's expanding business practice. Frost Law seeks a candidate who is willing to jump into a fast-paced environment and grow the firm's business transactions practice, which includes advising clients on corporate formation, mergers & acquisitions, corporate governance agreements, employment agreements, commercial leasing transactions, and other commercial transactional representation.The ideal candidate will be licensed in Maryland, but licenses in Virginia, and the District of Columbia are a big plus. The candidate should possess at least six years of law firm experience in the area of business law, with knowledge and substantive background in corporate structuring and planning, negotiating and drafting commercial contracts, business transactions (including mergers and acquisitions), and corporate governance/ownership agreements. Outstanding research, drafting, and analytical skills, as well as a strong academic background, are required. The ability to manage multiple matters in a fast-paced environment and to communicate effectively with clients and colleagues is essential.
The ideal candidate should have 5+ years of relevant corporate and transactional practice experience, including the following areas:
- Contract negotiation and review
- Mergers and Acquisitions
- Corporate formation, structuring, registration, and licensing
- Corporate governance issues
- Employment agreements
- Commercial leasing transactions
- Other commercial transactional work
