An Investment Banking Services Company is seeking to hire an in-house corporate attorney to assist its General Counsel with completing M&A transactions and providing counsel to WPCG and its partner firms on a variety of legal matters. The qualified individual will assist with the execution of all transactions and will be responsible for: tracking and monitoring diligence and transaction status; drafting documentation; negotiating with Seller's counsel; closing transactions; and providing general legal services to WPCG's partner firms. This individual will report directly to WPCG's General Counsel and WPCG management. WPCG's fast-paced and entrepreneurial culture places a high premium on a candidate's ability to take initiative and demonstrate results with minimal oversight.

Duties and Responsibilities:
Responsibilities include, but are not limited to, the following:
  • Provide legal support on various M&A matters, including drafting agreements, driving transaction process, and conducting due diligence.
  • Assist with drafting and negotiating M&A-related agreements, including NDAs, letters of intent, asset purchase agreements, disclosure schedules, employment agreements and other ancillary M&A documents.
  • Manage internal and external transaction processes and drive continuous process improvements and scalability in deal execution.
  • Provide counsel and advise on a range of legal matters for WPCG and its partner firms.
  • Work closely and collaborate with General Counsel throughout the life cycle of transactions.
  • Other transaction and team responsibilities as assigned.

Skills and Qualifications:
Required:
  • Law degree from an ABA accredited law school.
  • Admitted in good standing to practice law in at least one state in the United States.
  • Minimum of two to five years of legal M&A experience at a nationally recognized law firm.
  • Highly motivated, self-starter with demonstrated ability to deliver results within time constraints in a fast-paced environment.
  • Exceptional attention to detail.
  • Excellent teamwork and negotiation skills.

Preferred:
  • Experience with financial services acquisitions, preferably in the RIA and/or asset management industries.
