Scope of The Associate Counsel Role

Role and Responsibilities:
  • Support the General Counsel in driving key priorities, supporting business planning and strategy, and evaluating overall risk considerations while working effectively across the different functions as necessary including Legal, Compliance, Risk, HR, and Marketing to ensure B2C2's overall goals are met.
  • Strategically negotiate agreements with counterparties, including preparing and submitting draft documents prior to negotiation and execution of final original documents and any subsequent amendments (eg. Master Agreements, ISDA, NDAs, credit support agreements, and Vendor/Service agreements).
  • Undertake due diligence prior to and post completion of agreements e.g., commissioning and review of legal opinions and supporting documents.
  • In collaboration with legal and compliance team members, manage subpoena responses, memos on regulatory matters, and various internal reviews.
  • Develop and implement enhanced privacy strategies and policies in compliance and harmonization with international, federal, and state privacy laws (eg. GDPR).
  • Work with B2C2 legal and outside counsel in litigation support, including in preparation of pleadings, briefs, and memoranda.
  • Identify and work on critical information governance priorities and objectives. Conduct global market research and work with legal, compliance, and regulatory teams to shape company strategy.
  • Fulfill additional ad hoc duties are required to meet the needs of B2C2 business.
  • Build and maintain effective relationships with B2C2 staff globally.

Qualifications and Education Requirements:
  • JD from an ABA accredited law school or international equivalent
  • License to practice law in the United States

Requirements:
  • Approximately three or more years of relevant securities, corporate, and/or banking law, preferably at a major law firm
  • Superior analytical skills
  • General familiarity with legal landscape as it relates to crypto, including regulatory regimes for financial instruments such as securities, commodities and derivatives laws and regulations, money transmission / money services business laws, banking and payment services regulations, AML/KYC/sanctions rules, privacy and data governance as applied to new blockchain technologies, ongoing entity compliance and corporate governance
  • Strong people and project management skills, including the ability to coordinate complex, company-wide plans requiring deep cross-functional collaboration
  • Extraordinary interpersonal and communication skills, with ability to communicate information thoughtfully internally and externally, including to non-legal audiences, and to drive cross-functional alignment and action collaboratively
  • Execution oriented one-team mindset with determination to get things done

Preferred Qualifications:
  • Experience working at or with technology or financial services companies.
  • Experience working with regulators, data protection authorities, and financial institutions
  • Expertise in U.S. and international privacy and data protection laws, regulations, standards, and practices, including GDPR.
  • Handling global employment matters with a focus on the Americas
  • Drafting, reviewing, and updating employment agreements, incentive agreements and other legal documentation
  • Experience with cybersecurity standards, frameworks, risk assessments and certification processes
