Description:
Job Summary:The in-house Associate General Counsel is responsible for a variety of legal services including contract administration, corporate governance, SEC reporting, ESG efforts, HR matters, compliance, litigation, managing outside legal counsel and other legal matters.
Responsibilities:
- Contract Management: Negotiate, draft, and review a variety of commercial contracts, including NDA's, vendor contracts, and purchase agreements.
- Corporate Governance: Manage and assist with corporate governance matters, including entity formation, corporate filings, board and committee meetings, and corporate policies. Maintain corporate records and ensure compliance.
- SEC Reporting: Provide legal counsel and input on SEC reporting and filings.
- ESG: Provide legal advice on A Company Develops Silicon-Based Timing Solutions's ESG activities, including annual sustainability reports and ESG-related customer requests. Conduct research into ESG laws and regulations to ensure compliance.
- HR: Provide legal counsel to A Company Develops Silicon-Based Timing Solutions HR on HR activities, documents, and equity compensation matters.
- Regulatory Compliance: Stay current regarding relevant laws, regulations, and industry standards impacting A Company Develops Silicon-Based Timing Solutions. Ensure compliance with all applicable legal requirements and advise on regulatory matters.
- Risk Management: Identify and assess legal risks associated with business activities and develop strategies to mitigate risks effectively. Provide legal advice to support risk management efforts.
- Dispute Resolution: Assist in the resolution of disputes and legal proceedings, including litigation, arbitration, and investigations. Collaborate with internal stakeholders and external counsel as needed.
- M&A – Provide legal advice to internal stakeholders and work with outside counsel as needed in connection with all M&A activities.
- Press Releases – Provide legal input on press releases and other marketing activities.
- Collaboration and Communication: Collaborate effectively with cross-functional teams, including finance, sales, marketing, operations, engineering, and human resources. Clearly communicate legal concepts and provide legal advice to A Company Develops Silicon-Based Timing Solutions stakeholders.
Qualifications & Requirements (Education must be included):
- JD Degree
- Minimum 10 years of related experience in a corporate law firm, in-house corporate legal position in technology (preferably semiconductor) company
- Member of the California Bar
- Prior supervisory/management experience preferred.
- Willing and able to travel (domestic and international)
