An American Multinational Financial Services Company was founded by An American Multinational Financial Services Company and while it operates as an independent charity, it is closely affiliated with and enjoys the support of An American Multinational Financial Services Company, including contractual agreements to provide a variety of services. This position will be an employee of An American Multinational Financial Services Company. and will be subject to its human resources and risk policies and procedures but will report to and be accountable to An American Multinational Financial Services Company for day-to-day activities.

As a member of the An American Multinational Financial Services Company Legal & Corporate Compliance Team, you will be responsible for our contracts management program, special projects, and providing legal advice and counsel to assigned departments. The contract management program requires experience in drafting and negotiation of a wide array of contracts, including vendor and grant agreements, as well as managing the review process and facilitating risk reviews. In addition, this position will provide secondary general legal support for corporate governance and operational matters.

The position is an individual contributor role that reports to the Director, Legal Counsel for An American Multinational Financial Services Company.

Responsiblities include:
  • Draft, negotiate, and review agreements and other legal documents and build standard forms as necessary; interact with key clients and stakeholders.
  • Monitor and advise of changes in applicable law, rules, guidance, and supervisory systems and industry trends to maintain appropriate standards.
  • Provide appropriate counsel and mentorship to identify and mitigate potential risk or significant negative impact to the charity.
  • Work closely with cross-functional business partners, in support of An American Multinational Financial Services Company's donors and advisors.
  • Assist in the development and implementation of policies, procedures and standard processes and advise business divisions and senior management of potential legal risks and implications of the same.
  • Develop, provide, and manage training and presentations on complex legal matters.
  • Assess, identify, and resolve significant and complex legal issues with substantial risk exposure and risk management strategies.
  • Work well under pressure; able to meet short deadlines, while addressing multiple complex legal matters simultaneously.
  • Able to successful work independently with little supervision, in alignment with team standards and practices, and still be a contributing member of a small dynamic legal team.
  • This would be a hybrid position, working out of the Westlake, TX office

What You Have:

Required Qualifications:
  • J.D. or Master of Laws from an accredited law school and state bar admission in good standing. (TX, preferred).
  • At least 5+ years of transactional experience with either a U.S. law firm and/or in-house legal department with a focus on regulatory compliance or tax law and related matters. Knowledge of investment oversight is a plus.
  • Strong organizational, interpersonal and communication skills (verbal and written) with the ability to collaborate with all levels of staff including senior management.
  • Excellent written and oral communications skills.
  • Confirmed ability to establish foundations for influence, building credibility and open, unquestioning relationships.

Preferred Qualifications:
  • Prefer experience in representing a public charity.
  • Solid understanding of donor-advised fund (IRS, State Charities Regulators and fiduciary rules), RIA, SEC, banking and broker/dealer regulatory environments and ability to apply to An American Multinational Financial Services Company's unique situation.
