This position leads the overall corporate legal function as part of the Company's Enterprise Risk Management Program in an effort to achieve its strategic goals and objections. Advises directors and officers of MidWestOne Financial Group and its affiliates (“MidWestOne”) of various legal rights, obligations, and privileges with respect to the Company's business and banking matters. Demonstrates stewardship of MidWestOne resources and effectively manages and maintains broad-based legal knowledge. Refers and oversees matters requiring specialization at appropriate stages to external legal counsel.

Responsibilities:
  • Act as an ethical and independent counsel for MidWestOne in accordance with the standards of conduct applicable to the legal profession.
  • Advise the Board of Directors, CEO, and other executive officers on a variety of issues.
  • Develop and lead corporate legal strategy to promote and protect the company's matters.
  • Partner with Compliance on Regulatory Change Management Program administration.
  • Oversee delivery of legal services and resources to accomplish corporate goals, strategies, and priorities.
  • Maintain proper corporate interactions with relevant local, state, and federal governmental bodies, legislatures, and the community at large.
  • Manage a team of legal counsel.
  • In coordination with MidWestOne management, oversees and handles legal and regulatory bank matters such as:
    • Commercial and consumer banking practices, procedures, and matters.
    • Bank mergers and acquisitions including associated management of agreements and regulatory process.
    • Negotiating and managing vendor contracts.
    • Reviewing and writing various internal legal contracts.
    • Consulting with management regarding potential litigation/legal matters related to MidWestOne and coordinates litigation strategies with outside counsel partners.
    • Providing legal assistance related to fraud situations and fraud mitigation efforts.
    • Coordination and/or facilitation of legal research to formulate a MidWestOne position on various matters; monitoring case-law and industry-standards to advise members of management and the board of directors, as appropriate, of emerging risks and trends.
    • Oversight of government information requests and other legal processes, such as subpoena processing and litigation holds, or acting as a liaison to another outside legal firm representing MidWestOne.
  • Maintain knowledge of organization's operations, legal documents, and real and intellectual property.
  • Manage internal investigations process in coordination with internal audit.
  • Responsible for overseeing the MidWestOne's Fraud Services group and supervising the Fraud Services Manager.
  • Manage department budget.
  • Plays an active role in the MidWestOne community and financial services and legal industries through various leadership and volunteer roles.
  • Other duties as may be assigned.

Qualifications:
  • Juris Doctorate degree from an accredited law school or equivalent and 15+ years of experience in financial services, including at least 7 years as an attorney representing the company capacity (law firm or in-house).
  • Experience in dealing with banking regulators is strongly preferred as well as knowledge of bank operations.
  • Experience with general corporate matters including personnel/employment issues and contract management is a plus.
  • A current active license in good standing is also required.
  • Ability to practice law in the State of Iowa and/or State of Minnesota.
