Job Summary:
A Biotechnology Research Company seeks an experienced and highly motivated individual with strong securities law and business transactions experience to join its Legal & Compliance Department in its Boston office. The successful candidate will have extensive experience counseling public companies and managing complex business transactions. This position will report to the Senior Vice President & General Counsel and work extensively with members of the Company's legal, finance, accounting, investor relations and corporate communications groups, and be a key member of an agile legal team committed to being a strong partner to the business.

Responsibilities and Duties:
  • Primary legal leadership for public company reporting and securities laws compliance.
  • Provide advice regarding securities law disclosure/compliance, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, SEC registration statements, the annual meeting proxy statement, and prepare for the annual meeting of stockholders.
  • Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications.
  • Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting.
  • Provide training on, and the compliance processes for, various corporate policies, including securities trading and Regulation FD.
  • Assist with providing legal support to Board of Directors and Board Committees, which includes advising on substantive legal matters, developing meeting agendas, and preparing materials for Board/Committee meetings.
  • Assist with the corporate secretary function, including subsidiary management, and various other corporate secretarial matters.
  • Provide legal support on financing transactions.
  • Provide leadership and management of the contracting team, liaising with senior leaders to manage escalate issues and working cross-functionally and within the Legal & Compliance Department to ensure streamlined contracts review and consistency in approaches across contracting teams.
  • Draft, review, and negotiate research-related contracts, clinical trial agreements, commercial contracts, 3rd party vendor agreements, service agreements, consulting agreements and other corporate agreements.
  • Advise business leaders on strategies and tactics in a way that advances the company's business while addressing legal risks and protecting the company's integrity and reputation.
  • Proactively identify legal and compliance risks and work with other internal stakeholders to effectively eliminate or mitigate those risks while concurrently supporting business strategic goals.
  • Advise on other legal matters that arise across various functions within the company.
  • Manage outside counsel as needed in connection with executing above responsibilities and duties.

Qualifications and Skills:
  • Law degree from an ABA law school and current admission to the bar.
  • Typically requires 10 years of experience in a large law firm, biotech/pharma company, or government agency practicing law, or the equivalent combination of education and experience.
  • Outstanding communication and interpersonal skills, with strong ability to communicate across various functions.
  • Highly collaborative, with excellent judgment and interpersonal skills
  • Expert ability to constructively counsel and influence clients to take appropriate actions and make complex decisions.
  • Capacity to simultaneously handle a variety of complex legal matters with minimal guidance.
  • Demonstrable experience taking ownership of issues and providing timely, actionable advice.
  • Exceptional written, organization, and presentation skills.

This role is based out of our corporate office in Boston, Massachusetts. A Biotechnology Research Company operates in a hybrid-work model. Candidates applying must be willing and able to be in the Boston office in coordination with their department and business needs.
