Partner with senior leaders across the business
You will work closely with our senior business leaders, finance, treasury, and investor relations teams to prepare SEC filings and provide in-depth counsel on issues concerning SEC and listing exchange compliance, governance, debt and equity financings, mergers and acquisitions, joint ventures, ESG reporting requirements and general corporate law.

As as Senior Counsel, you will be responsible for:
  • Providing advice and counsel to senior management on company's compliance with applicable securities laws, NASDAQ rules and regulations, Sarbanes Oxley, and other regulations impacting US public companies.
  • Preparing and/or reviewing SEC filings including 10-K, 10-Q's, Proxy Statement, 8-K's, Section 16 reporting (Forms 3, 4, and 5), and '33 Act registration statements (including preparation of registration statements on Form S-8).
  • Assisting with various corporate governance initiatives relating to the company's Board of Directors, including director and officer questionnaires, maintenance of corporate records, and the review of the Company's Articles of Incorporation, Bylaws, board committee charters and other corporate governance documents and policies
  • Developing and maintaining corporate policies on governance, trading in securities, and managing public disclosures (includes 10b-1 plans and stock ownership requirement compliance)
  • Advising on executive and director compensation, equity incentive plan matters, and related securities matters
  • Assisting with and supporting all phases of acquisitions, strategic alliances, financing transactions, private equity/venture capital investments, and sophisticated commercial transactions
  • Supporting the ESG Office with A Global Content Delivery Network, Cybersecurity, & Cloud Service Company voluntary ESG disclosures, mandatory ESG reporting requirements, and other ESG-related projects

Do what you love
To Be Successful in This Role You Will:
  • Have a JD from an ABA-accredited law school, be admitted/licensed to practice in a relevant jurisdiction, and be an Attorney in good standing.
  • Have a minimum of five years experience, ideally with a large law firm and/or in-house experience with an emphasis on corporate law securities, and experience with M&A and ESG preferred
  • Have demonstrated comprehensive knowledge of the Securities Act of 1933, the Security Exchange Act of 1934, and the rules and regulations of the SEC under those acts, and the requirements of NASDAQ as well as Sarbanes Oxley
  • Have demonstrated financial literacy and comprehension and articulation of corporate finance disclosure issues, have an understanding of Delaware Corporation Law and be proficient the the principles and practices of major aspects of corporate law
  • Have excellent research, writing, drafting and communication skills, client focus and collaboration with other functions and the business.
  • Have excellent business judgment and ability to assess legal risk while also thinking strategically and providing practical advice.
  • Have ability to multi-task, prioritize and follow through on numerous projects simultaneously.
