An American Irish-Domiciled Multinational Power Management Company's legal organization is hiring a Senior Counsel, Corporate Governance at the Beachwood, Ohio location. This position requires 10% travel.

What You'll Do:
Reporting directly to the Vice President - Corporate Secretary, the Senior Counsel - Corporate Governance will be a corporate legal generalist with significant experience in corporate governance, company law, securities compliance and legal transactional work. This role will be a critical resource in An American Irish-Domiciled Multinational Power Management Company's legal team and the successful candidate will provide support to the Corporate Secretary on Board and Committee related corporate governance matters; preparation and review of Board and Committee meeting materials; public disclosures; and advises on corporate governance best practices, policies, and other public company obligations. This role will also be responsible for ensuring corporate governance compliance with NYSE listing requirements. The Senior Counsel, Corporate Governance will also provide legal support for the governance of An American Irish-Domiciled Multinational Power Management Company's subsidiaries and for corporate transactions, including finance and capital markets transactions and internal group restructurings. The role will also provide additional general corporate support in the legal team as needed, including support for securities compliance on 1934 Act filings, annual proxy statement and shareholder meeting requirements, section 16 compliance, real estate and M&A projects. This role will also collaborate and provide legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials, and An American Irish-Domiciled Multinational Power Management Company's investor relations website.

Qualifications:
  • Bachelor's degree from an accredited institution is required.
  • Juris Doctorate from an accredited law school is also required.
  • Minimum of 8 years of relevant legal experience.

Skills:
The successful candidate for this role should demonstrate leadership abilities and be an effective member of a highly functioning team. The successful candidate will provide legal support to the Board, senior executives, and other clients and fellow attorneys. As a result, they should be able to manage complex professional relationships across the globe, working in a large established and matrixed legal team. They should possess a global view and mindset with the ability to dig into internal and external customer needs. They should also enjoy the practice of corporate law, be naturally inquisitive, and demonstrate ownership and personal responsibility when working on complex projects.
