The Senior Corporate Counsel is responsible for providing a broad range of legal services to the company, both directly and in conjunction with outside counsel, with a significant focus on intellectual property protection, contract drafting and negotiation, employment law, managing outside counsel, information and risk management (including privacy and compliance), and dispute resolution and settlements. The Sr. Corporate Counsel will report directly to, and work closely with, the General Counsel on a wide range of matters and will be a business partner who will collaborate effectively across the company to help the business identify and implement practical business solutions to achieve its goals.

The Sr. Corporate Counsel will be highly organized, solution driven, customer service-oriented, pragmatic and proactive in their approach to contracting and be able to work both collaboratively and autonomously. You will work closely with the General Counsel to implement new and improved business processes at the company while providing critical advice to internal business partners regarding a wide variety of matters involving intellectual property, IT, sales and marketing, supply and procurement, information and risk management, compliance, corporate governance, employment, litigation/dispute resolution/settlements, licensing (including SaaS, licensing, sublicensing), professional services, and other complex and commercial matters.

Core Requirements and Responsibilities:
Essential job functions included but are not limited to the following:
  • Advise the company and senior leadership on a broad range of federal and state regulatory and compliance matters including identifying areas of risk and making suggestions for improvement;
  • Business Partner to Human Resources, management of Labor and Employment matters including leaves and wage and commission compliance for the global team;
  • Business Partner to Compliance team, leading privacy and compliance matters internally and externally;
  • Assist General Counsel on litigation related matters;
  • Support management of the intellectual property portfolio including copyrights, trademarks and patents;
  • Directly support and manage for legal the Orange Partner Program including partner vetting and complex partner negotiations and contracting;
  • Work with the sales department to review, revise and negotiate complex technology sales agreements in Salesforce and regarding contract workflow;
  • Work independently as the lead attorney on many matters and collaboratively with other attorneys in the department, as well as outside counsel, on certain matters and General Counsel on more significant matters;
  • Lead significant projects, both within the legal department and across a variety of functions; and
  • Continually improve the efficiency and effectiveness of business processes, following all applicable best practices, processes and procedures.

Knowledge, Skills, and Abilities:
  • Familiarity and experience with laws relevant to the sale and marketing of software including with respect to licensing, data protection/privacy, intellectual property, IT, antitrust, export control and regulatory compliance
  • Extensive experience with intellectual property, IT, M&A transactions, corporate governance, litigation management, employment law, and commercial contracts including: reviewing, drafting, and negotiating a wide range of commercial agreements including but not limited to software licensing, SaaS, vendor/procurement or sales/service agreements, real estate, professional services agreements and non-disclosure agreements
  • Possess a high level of professionalism and outstanding business judgment
  • Experience and comfort working with and advising business internal clients directly
  • Extremely detail oriented
  • Able to work in a fast-paced environment with the ability to handle multiple, competing workloads with changing priorities to meet necessary deadlines
  • Familiarity and experience with laws relevant to the sale and marketing of software including with respect to licensing, data protection/privacy, intellectual property, IT, antitrust, export control and regulatory compliance
  • Inherent drive to solve problems collaboratively and mentor team members
  • Excellent business acumen
  • Communication skills, both written and verbal and the ability to engage personnel across all levels of the company
  • Ability to exercise initiative

Qualifications:
  • Admitted to practice in at least one state and willingness to submit an application to the Colorado State Bar for admittance if relocating
  • At least 7 years of combined top law firm and/or in-house experience – prior in-house and employment experience is highly preferred
  • Extensive experience representing clients in the software and/or professional services related industries
