We are seeking a class of 2019+ Hedge Fund associate to join our top-ranked Financial Services group. Our team is recognized internationally as a leading adviser to the hedge fund industry. Many of the world's largest hedge fund and emerging fund managers turn to us for comprehensive, cross-border service. We regularly set up hedge funds in a range of domiciles, including the Cayman Islands, Delaware, Ireland, Luxembourg and Malta. We advise many managers who wish to develop their strategies within more retail-based vehicles, including alternative mutual funds, exchange-traded funds and UCITS. An International Complex Litigation Law Practice Firm also advises clients on the emerging trend of alternatives managers developing registered closed-end funds and open-end mutual funds and business development companies (BDCs). We keep pace with changes in the marketplace, such as hedge fund managers launching more private-equity-type structures and private equity managers exploring the more liquid hedge fund space. This has fueled growth in “hybrid” or “crossover” structures that share hedge and private equity type characteristics, such as a fixed term, commitment structures and in some cases the use of carry vehicles. We are well placed to provide support in this area, drawing on our depth in both the hedge fund and private equity spaces. Additionally, our practice is top ranked across industry publications, including Chambers Global and The Legal 500 US. Salary is $365,000+ commensurate with class year and experience. We are looking for:
  • Experience structuring, organizing and representing hedge funds, funds of funds and other private investment funds (both domestic and offshore), including private equity and real estate investment funds, family offices, institutional investors and investment advisers
  • Experience advising funds and their managers on a wide variety of matters, including formation and structuring, seed and anchor capital arrangements, marketing matters, portfolio management, trading and operational issues
  • Private fund formation experience, including drafting and negotiation fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings)
  • Experience with fund raises from launch to close, including managing the entire project, to include interfacing with client, investor negotiation (including side letter negotiation and reviewing subscription documentation and managing subscription process), and closing mechanics
  • Understanding of the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act
  • Large law firm experience required; prior in-house or regulatory experience is a plus
