Academic background:
  • Graduate of higher education Bac +5 in international business law.

Experience:
  • Minimum of 8/10 years of experience in a similar position and in a complex and constrained industrial field (preferably large energy projects).
  • Specialist in engineering, procurement and construction contracts preferably in the renewable energy sector

Other:
  • Boldness, pragmatism, rigorousness and autonomy are required to integrate into the existing team and satisfy internal clients.
  • Appetite for technical and industrial subjects.
  • Adaptability in a high-stakes, fast-growing business sector to a variety of issues

Activities
Drafting and negotiation of contracts for ESS projects:
Drafting of contracts for ESS projects
  • Continuous updates on Saft's ESS contract templates;
  • Adapt the Saft's ESS templates to the project needs;
  • Review the tender documentation and adapt the sales contracts and agreements to the project needs, including issues of economic sanctions and export controls, competition law and compliance, insurances, etc in collaboration with TotalEnergies expert teams and review the financial guarantees in collaboration with Saft's finance team.
  • Procurement contracts: enter into framework agreements drafted by Saft with the suppliers of main equipment for the supply of equipment and associated services

Main types of project contracts
  • Sales contracts: (i) supply and commissioning of equipment (BESS or other equipment involving Saft supply chainn (ii) engineering, procurement and construction, (iii) services agreement;
  • Consortium and joint venture (JV) agreements;
  • Procurement contracts (modules and cells, etc..)
  • Subcontracting.

Project contract negotiations
  • Review of tender documentation (including project clarifications related to the main contract, product warranty, financial package and insurances conditions).
  • Negotiation of contracts for ESS projects (sales, procurement and subcontracting).

M&A:
  • Support Saft's teams in the review of the SPA (Share Purchase Agreement)and related contracts in case of merger and acquisitions within the ESS division.
  • Be the contact person for the external legal counsel in the review and negotiation of the SPA.

Support in the implementation phase of ESS projects (including pre-litigation and litigation)
The legal counsel shall support the operational teams in the implementation phase of the ESS projects:
  • Contract claims: review Saft's contractual position and strategy, assisting in the review of the letter drafts and update the wording in line with the contract conditions;
  • Pre-litigation and litigation files: follow the pre-litigation and litigation files together with the operational teams and be the contact person for external legal counsels and insurance matters.
