Description:
Job Summary:The Legal Counsel position is responsible for supporting general business operations in the assigned region by acting as a liaison between the company and its various entities including but not limited to outside counsel and clients. This role will review, revise, and track a wide variety of clinical agreements for the company and provide practical legal guidance as necessary on a variety of topics.
Essential Functions:
- Engage with Customers and the A Research Consulting Organization Clinical service line to establish agreements (Confidentiality Agreements, Clinical Trial Agreements, etc.) with sites and the Customer as required.
- Research, anticipate, and guard company against legal risks.
- Assist in the negotiation and review or writing of Customer-related contracts (Master Service Agreements, Vendor Agreements, etc.).
- Track and monitor the status of agreements and contracts.
- Advise stakeholders and collaborate with employees across the Company.
- Execute on various projects identified by the Senior Legal Counsel and General Counsel.
- Minimize risks and maximize legal rights.
- Act as a legal consultant and liaison on legal matters, mediations, arbitrations, and hearings.
- Interface with and coordinate and / or assist outside legal counsel on specific matters.
- Draft letters and correspondences on behalf of the company.
- Other duties as assigned.
- Corporate law and / or commercial transactions experience.
- Some employment law experience preferred.
- Excellent written and verbal communication skills.
- Able to collaborate effectively with outside legal counsel.
- Proficient in legal research.
- Able to work with others in various geographies and different time zones.
- Analytical and logical thinking.
- Must be able to work in a fast-paced environment and meet deadlines regularly.
- Limited travel as required.
Educational requirements:
- Juris Doctorate (J.D.) degree from an accredited law school.
- A Member in good standing of at least one bar association.
Experience Requirements:
Minimum of 5 years' experience with a private law firm or in-house, preferably in the life sciences sector.
