Legal and Compliance Counsel

Reporting to our Vice President of Legal & Compliance, you will draft, review, and negotiate complex contracts and be responsible for legal and compliance initiatives, and ad-hoc projects. This position is with An Information Technology Companys Autonomy & Positioning division, a global technology leader, pioneering end-to-end solutions industry leaders rely on for assured positioning and autonomy on land, sea and air. Within the Autonomy & Positioning division, your work will contribute to the operation of our brands NovAtel, AutonomouStuff, VERIPOS and Antcom.

The Location: An Information Technology Company is a global company with locations around the world. This is a hybrid position based in our AutonomouStuff headquarters in Morton, Illinois or our Hexagon Calgary Campus in Calgary, Alberta.

Responsibilities:
As Legal and Compliance Counsel you will be responsible for:
  • Providing authoritative and comprehensive legal services meeting the commercial and strategic needs of the business
  • Advising on legal risks and mitigation strategies and supporting good governance through appropriate discussion and escalation of issues
  • Reviewing, drafting, and negotiating a variety of commercial contracts and government procurement transactions, including customer and supplier agreements, distribution agreements, intellectual property licenses, non-disclosure agreements, development agreements, and real estate leases
  • Developing and delivering legal and compliance training across the organization
  • Helping maintain and developing policies, standards and checklists
  • Identifying and analyzing new legislation and proactively proposing and implementing solutions
  • Participating in cross-functional project teams and committees

Qualifications:
Must Have:
  • An LLB or JD from an accredited university and license to practice in your governing jurisdiction
  • 5-10 years' of corporate commercial experience gained in-house or at a top-tier law firm
  • Expertise in dealing with corporate, commercial and technology development contracts
  • A background in intellectual property protection and licensing
  • Track record of delivering results and pragmatic, risk-based legal advice
