Reporting to the General Counsel, you will be responsible for providing legal counsel on a broad range of intellectual property related matters including software licensing, review of IP-related agreements and clauses in commercial contracts, and counseling and training of employees in IP-related subject matter. A Day in the Life:?
  • Draft or review a wide range of agreements implicating intellectual property rights, including third party contracts, technology and/or joint development agreements, confidentiality agreements, statements of work, service agreements and EULA's and other similar agreements.
  • Counsel Engineers and Management on intellectual property related matters.
  • Support compliance with US Export licensing and requirements.
  • Draft and maintain written procedures related to intellectual property (e.g., copyright policy, OSS use policy)
  • Manage Open Source Software compliance program and employee training, etc.
  • IP Litigation support.
  • Develop, present and/or coordinate workshops and/or training on intellectual property subjects
  • Assist with IP risk assessments and projects as needed.
  • Monitor and report on external developments in IP, including laws and regulations, government investigations, and industry best practices.
  • Develops creative presentation materials, reports, charts, graphs, and other statistical information
  • Initiates, recommends, and provides solutions through designated channels.

Must-Haves:?
  • JD required with admission to practice law in a state bar in Good Standing. Preferred undergraduate in Engineering, Computer Science, Science, or other related field.
  • 5-7 years of experience, either at a law firm or in-house directly supporting IP-related matters.
  • Substantial Experience drafting and reviewing agreements related to intellectual property including software development agreements, software licenses, patent and trademark licenses, end user license agreements, and open-source licenses.
  • Experience drafting and reviewing IP-related settlement agreements.
  • Review of IP-related clauses (e.g., indemnity) in commercial contracts.
  • Knowledge and experience in management of open-source software development and compliance programs and related matters including license terms, drafting and review of disclosure statements, employee training, etc.
  • Knowledge and experience in Trademark and Copyright law, including clearance, registration and counseling related to trademarks.
  • Anti-Counterfeiting and domain name registration and dispute experience is a plus.
  • Able to distill and concisely communicate the essence of complex IP matters.
  • Demonstrated ability to successfully work globally and cross culturally.
  • Able to work independently and know when to appropriately escalate an issue for resolution.
  • Must be able to maintain the highest degree of confidentiality and professionalism in all aspects of the job.
