Description:

As General Counsel, you will report to the CEO and serve as the chief legal officer of the company, providing strategic guidance on all legal matters for the company, with a particular focus on negotiating strategic partnership and IP licensing agreements, managing the preparation and prosecution of patent applications, and managing outside counsel where needed. You will also advise and participate in strategic decisions at the executive level. The ideal candidate will have experience in industries at the cutting edge of both technology and regulation, and will be skilled at managing a variety of legal issues that a company in this space will face.

Responsibilities:
  • Provide legal advice to the executive team and board of directors on a wide range of issues, including corporate governance, intellectual property, regulatory compliance, risk management, and employment law, with a particular emphasis on strategic partnership and licensing agreements and managing our growing IP portfolio
  • Lead the negotiation, drafting, and review of complex commercial agreements, including technology licensing agreements, partnership agreements, supply contracts, and non-disclosure agreements
  • Manage the company's intellectual property portfolio, including patent prosecution and defense strategies; work closely with the R&D team to identify and protect Xcimer's innovations; educate employees on IP best practices
  • Oversee regulatory compliance efforts, particularly with respect to safety, environmental regulations, and export controls
  • Liaise with external counsel and manage the legal budget
  • Develop and implement company policies and procedures, as well as employee training programs, to ensure legal and ethical integrity
  • Oversee any litigation or legal disputes that arise
  • Stay abreast of legislative changes that may affect the company and its operations.

Qualifications:
  • J.D. degree from an accredited law school and licensed in good standing in at least one U.S. state bar; eligible for licensure in Colorado
  • 10+ years of legal experience with a mix of law firm and in-house experience
  • Background in technology transactions, especially licensing deals and strategic partnerships
  • Experience developing IP strategy and growing patent portfolio in technical fields
  • Excellent communicator who can clearly explain and advocate Xcimer's positions
  • Business-minded, creative problem-solver and strategic thinker who can balance legal risks with business goals
  • Must be a U.S. citizen or national, U.S. permanent resident (current Green Card holder), or lawfully admitted into the U.S. as a refugee and granted asylum

Desired:
  • Experience with both established and early-stage, venture-backed companies is desired
  • Experience with export control regulations and policy
  • Experience with government contracting in R&D programs
  • Experience advising clients operating in a highly regulated industry, particularly in US Government, defense and energy sectors
