Summary:
At A Construction Engineering Company, we understand the importance of operating within the law while carrying out our vision. We seek a general counsel with extensive experience practicing law, preferably in a business environment. Beyond possibly representing the Company in litigation, the general counsel will serve as our primary advisor on all legal matters, guiding company policy to reflect legislative changes and statutory compliance. A Construction Engineering Company will rely on the general counsel's expertise to help us protect the interests of our customers, shareholders, and employees, and to further our company mission and goals. This position oversees all other in-house counsel and manages the use of any external counsel as necessary.

Responsibility:
  • Ensures A Construction Engineering Company operates within the law at all times.
  • Provides expert, strategic legal advice to management and executive teams.
  • Directs, oversees, and controls legal activities and functions to ensure the organization's legal posture is developed and maintained.
  • Establishes legal services required by the organization and ensures that the Company is protected from any legal action.
  • Provides legal counsel on general employment law, mergers and acquisitions and compliance.
  • Provides officers and directors with advice and guidance in identifying areas where the application of legal principals yields the greatest opportunities for minimizing risks and maximizing profits.
  • Represents the Company in complex legal matters, such as public relations and regulatory compliance.
  • Develops and reviews product warranties and license agreements.
  • Writes and reviews legal briefs and documents.
  • Advises on litigation strategy.
  • Manages the Company's intellectual properties and statutory filings.
  • Communicates pertinent legislative and regulatory changes.
  • Reviews and controls department budget to support strategically planned programs of legal actions or defenses and to assure optimum deployment of resources.
  • Develops a professionally competent staff by mentoring, coaching, providing feedback and evaluating performance.
  • Communicates with outside counsel, clients, politicians, and regulators.
  • Leads negotiations with outside parties.
  • Maintains confidentiality for all sensitive and protected information.
  • And other duties as assigned.

Required Experience and Qualifications:
  • Advanced law degree, i.e. Juris Doctor.
  • Minimum 15 years of experience in the legal profession.
  • Minimum 3 years of cumulative direct experience in litigation.
  • Minimum 5 years of experience in the construction industry.
  • Experience directly managing teams of 3 or more legal professionals.
  • Comprehensive knowledge corporate, labor, and contract law.
  • Exceptional judgment for weighing inputs and evaluating potential courses of action.
  • Demonstrated positive financial impact derived from legal and/or contract strategies.
  • Proven experience as a senior corporate counsel (or above), or in a comparable legal role.
  • Strategic acumen and excellent problem-solving capabilities.
  • Advanced verbal and written communication skills.
  • Travel up to 50%.

Highly Desired Experience and Qualifications:
  • License to practice law in North Carolina.
  • Experience in heavy highway / heavy civil construction.
  • Minimum 5 years of experience working in a matrix organization.
  • Advanced knowledge of corporate financial management.
