Description:
Reporting to the Vice President, Chief Counsel – Business Services, plays a pivotal role in providing legal guidance and strategic support to An Employee Benefits Company's business units. Will also assist the Vice President and Chief Counsel – Business Services with corporate governance matters and will provide advice on various insurance regulations.Legal Support, Research and Analysis
- Research and analyze laws/regulations for An Employee Benefits Company's insurance and administration business and advising internal stakeholders in their business planning regarding implications of the law.
- Stay updated on industry trends, legal developments, and emerging issues to proactively identify and mitigate legal risks and implement best practices.
- Assist Chief Counsel in providing legal guidance to ad hoc questions impacting business units.
- Inform legal team and internal stakeholders of recurring issues or when additional team training may be required.
- Identify and analyze company procedures on a proactive basis to ensure best practices.
- Oversee and coordinates work and communication amongst team member(s) to ensure efficiency and balanced workload, while developing areas for continued growth and responsibility to best support the legal department.
- Draft memorandums, attorney correspondence, reports, and other legal documents.
Contract Reviewing, Drafting and Negotiations
- Review, negotiate and draft contracts with clients, business partners, producers/agents, and networks.
- Identify potential legal risks and liaise with subject matter experts in the law department to mitigate those risks, including in areas regarding privacy, security, and employment.
- Serve as a means of escalation for Counsel and Sr. Paralegal.Create process improvements and efficiencies of the contract management cycle through automation and simplification.
Corporate Governance
- Prepare intercompany agreements in partnership with compliance and finance.
- Assist in special projects as needed.
Education & Experience:
- Law Degree from an accredited law school and licensed to practice law or ability to become licensed in Illinois
- 5-7 years minimum of experience in either a law firm or in combination with previous in-house experience
- Experience in the insurance/health care or related industries
- Demonstrated ability to manage multiple priorities and work in a fast-paced, dynamic environment
- Strong written and verbal communication skills
- Excellent research and analytical skills, with the ability to apply legal principles to practical business situations
Preferred Experience:
- Large and complex commercial contracting experience
- Insurance regulatory experience
- Experience advising on ERISA issues
- In-house experience
