Summary:
The Deputy General Counsel will play a crucial role as a senior member of the legal team at An Urban Alaska Native, For?profit Corporation, reporting directly to the General Counsel. The Deputy General Counsel will provide legal advice and guidance to Goldbelt's operating subsidiaries engaged in federal government contracting and related commercial business. This position requires a seasoned legal professional with experience in contract law and regulatory compliance.

This position is located in Herndon, VA with flexibility for remote work.

Minimum Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Active member in good standing of the state bar association within the state of Virginia.
  • Minimum 5 or more years of relevant experience practicing law, preferably in a corporate legal department or law firm with a focus on commercial transactions and regulatory compliance
  • Proven track record of providing strategic legal advice and counsel to business clients or internal senior management and executive leadership
  • Experience conducting investigations and representing clients in litigation

Preferred Qualifications:
  • Knowledge of ANCSA corporations and their history
  • Previous experience working with Alaska Native Corporations (ANCs) and/or previous exposure to Alaska Native cultures
  • Previous government contracting experience
  • Small business government contracting experience
  • 8(a) Program familiarity or contracting experience
  • Employment law experience
  • Experience with bid protests and contract claims

Responsibilities:
Essential Job Functions:
  • Provide expert legal guidance and strategic advice to the General Counsel, executive leadership team, and various business units on a broad range of legal matters, including contract law, regulatory compliance, litigation, employment law, and commercial transactions
  • Drafts legal opinions/memos, policies, resolutions, protests, claims, audit responses, and other documents
  • Reviews and interprets statutes, regulations, proposed legislation, judicial decisions, and legal opinions that may impact the company
  • Assist the General Counsel in ensuring that Goldbelt conducts its business operations in compliance with applicable laws, regulations, and policies
  • Assist in the development and implementation of corporate governance policies and procedures, ensuring compliance with applicable laws, regulations, and best practice
  • Supports Goldbelt subsidiaries in managing regulatory compliance issues, as requested, and provides effective outside counsel management
  • Prepare agreements and provide advice to senior executives and other personnel regarding contracts and agreements
  • Analyze and summarize complicated legal documents, including contracts, and suggesting alterations to those documents
  • Represent Goldbelt before administrative or before quasi-judicial agencies of government in lieu of the General Counsel
  • Advise officials on government regulations, tax matters, and legal rights
  • Prepare business contracts, settle labor disputes, and administer legal matters
  • Stay abreast of relevant laws, regulations, and industry trends impacting the company's operations, and provide proactive guidance and support to ensure compliance with federal, state, and local laws and regulations
  • Manage litigation matters, including disputes, claims, and regulatory investigations, and develop strategies to mitigate legal risks and achieve favorable outcomes
  • Identify legal and regulatory risks facing the company and develop strategies to mitigate such risks, including the implementation of effective compliance programs and risk management initiatives
  • Build and maintain positive relationships with key internal and external stakeholders, including senior executives, government agencies, and legal partners
  • Travel as necessary by vehicle or airplane
  • Perform other duties as assigned
