As a valued contributor to our Corporate Governance Legal team, you will consult with team members and management to provide core legal counsel and services to the business, as well as utilize your legal training and experience to guide the Company's business. In this role, you will document and enforce its legal rights, and minimize its legal risks.

This is a Hybrid job assigned to our downtown Washington, DC headquarter office. The person in this role will be expected to travel to our DC office up to 5 times/year for Board and team co-location meetings at their own expense. The remainder of their worktime can be done from a home office provided it is located in the 50 states or the District of Columbia.

The Corporate Governance - Associate General Counsel role will offer you the flexibility to make each day your own, while working alongside people who care so that you can deliver on the following responsibilities:
  • Provide counsel to one or more business units by applying knowledge of corporate law and corporate governance in the business context in which issues arise.
  • Research legal principles and precedents pertinent to issues affecting client business.
  • Consult with outside counsel and provide guidance.
  • Draft and execute legal documents.
  • Assist other attorneys in representing the organization in legal disputes and transactions.
  • Advise senior attorneys of changes in legislation or regulations that impact the company.
  • May participate in developing company policies and procedures governing corporate law matters.

Qualifications:
The experience you bring to the team:

Minimum Required Experiences
  • 8 years of related experience
  • Juris Doctorate degree
  • Relevant corporate governance or transactional experience in a large law firm or corporate law department required.
  • Legal experience in a broad range of governance issues affecting large financial institutions or large public companies.
  • Excellent oral and written communication skills; leadership and people management skills.
  • Excellent advocacy, negotiation, writing, and organizational skills; the ability to work well with clients in a dynamic and fast-paced environment; the ability to focus on both the big picture and the details; and the ability to meet deadlines and work well with peers.

Desired Experiences
Prior experience providing corporate secretarial support to public company board of directors preferred.
