Position Summary:
A Research and Product Development in California is seeking a motivated and detail-oriented Corporate Counsel who will oversee Nusano's legal documents and contracts through all stages of their life cycle. This role will report to our Senior Corporate Counsel and requires a thorough understanding of contract principles and the ability to present contractual language recommendations to stakeholders. This is an on-site role based in West Valley City, Utah.

Responsibilities:
What You'll Do:
  • Draft, review, revise and negotiate a variety of contracts, including Supplier Agreements, MSAs, NDAs, MOUs, LOIs, SOWs, T&Cs, consulting agreements and amendments.
  • Provides contract administration throughout the contract life cycle (pre-proposal through contract close out).
  • Serves as a liaison between Legal and other parties, both internal and external.
  • Maintains & organizes the storage of all contract-related documents, including maintaining templates, libraries, and contract summaries.
  • Maintains & tracks the status of contracts, including contract renewals, registrations, reviews, terminations, etc.
  • Contributes to the development of contract procedures and documentation processes.
  • Evaluates contract provisions for potential risk and to ensure compliance with appropriate laws, regulations, corporate policies, and business unit procedures.
  • Assists in developing and maintaining playbooks and other contract negotiation guidelines.
  • Facilitates signatures for contracts.
  • Performs other duties as assigned.

Qualifications:
Minimum Requirements:
  • Juris Doctorate degree.
  • 5+ years of relevant contracts negotiation experience.
  • A strong knowledge of contract principles such as intellectual property, indemnity, and transfer of risk.
  • Proven drafting skills.
  • High attention to detail and superior reading comprehension skills.
  • Impeccable recordkeeping and record retention skills.
  • Strong interpersonal and communications skills to achieve impactful results with internal and external stakeholders.
  • Sense of urgency with ability to work well under pressure while juggling multiple priorities.
  • Proficient in Microsoft Office Suite and Adobe Sign.
  • Experience with content management/repository tools such as SharePoint.

Preferred Requirements:
  • Experience in the pharmaceutical or biotechnology industries.
  • Experience working in a start-up or rapidly changing environment.

Physical Requirements:
  • Work to be conducted in an office environment.
  • Must be comfortable working in a facility that produces radiation (fully monitored).
  • Must be able to sit for long periods of time. Frequent use of computer with repetitive use of keyboard, mouse and manual dexterity.
