About the Job:
As a Senior Counsel, you'll have a growth-oriented mindset and play a vital role in negotiating deals, drafting contracts, writing proposals, and building partnerships. You will also provide legal advice and counsel to internal clients at all levels on various matters to execute business objectives.

What You'll Do:
  • Structure, draft, and negotiate complex commercial agreements with customers and partners, including technology-related agreements, professional services agreements, nondisclosure agreements and data sharing agreements;
  • Provide legal review, advice, and support on a broad range of legal matters including strategic transactional documents, commercial contracting, licensing, quality and operations, transactional and general corporate matters;
  • Negotiate deals and form partnerships to drive growth;
  • Advise leadership team on client's contract interpretation, dispute resolution, risk allocation and other legal matters;
  • Provides guidance and contract interpretation to leadership team;
  • Respond to contract related inquiries and provide guidance as a subject matter expert;
  • Identify and evaluate contractual and legal risks of business opportunities and suggest alternatives that lead to optimal solutions;
  • Work cross-functionally with Sales, Marketing, Finance, and Operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences;
  • Establish trusted advisor relationships with the business leadership team and the sales leadership team;
  • Support sales teams on opportunities including reviewing, editing, and writing proposals;
  • Lead initiatives to improve contract processes, including by reducing cycle times and increasing efficiency;
  • Educate internal business teams on contract terms, negotiation best practices, commercial implications, legal risks, etc.;

Education & Experience:
  • Juris Doctor from an accredited law school; Active law license required
  • Bar licensure in any U.S. state, with Maryland bar preferred
  • Minimum of five (5) years as a practicing attorney with a minimum of three (3) years of experience working at a law firm, corporate legal department, or similar fast paced work environment
  • Experience with high volume transactions including but not limited to drafting, reviewing, negotiating, and advising business partners on complex agreements
