We are seeking a highly skilled and motivated individual to fill the role of Corporate Counsel, reporting directly to the General Counsel. Responsibilities:
Strategic Legal Support and Leadership
Serving as the primary legal support for the company's (1) corporate and compliance matters, (2) technology team and privacy functions, and (3) consumer products division, provides a proactive, highly strategic, collaborative, and business-oriented approach to legal issues. Develops solutions that balance effective risk assessment with business needs. Swiftly and competently responds to external and internal needs of the company.

Transaction Management and Legal Advice
Negotiates, drafts, tracks, and ensures compliance with all non-entertainment. Advises the appropriate departments in connection with transactions. Works routinely with the consumer products division to bring on new products and set up new corporate entities as needed. Responds to frequent legal needs from across the company in real time.

Compliance:
Assists General Counsel and Senior Counsel in managing control systems to prevent or deal with violations of legal guidelines and internal policies. Ensures adherence to policies and encourages employees to report compliance matters. Interacts with other legal team members and regulators on compliance issues. Keeps legal team apprised of new compliance requirements. Assists with audits, reviews, and examinations.

Legal Research and Compliance Advisory
Remains up to date on relevant consumer protection, privacy, and data security laws and regulations. Stays informed on technological developments, threat vectors, and evolving industry standards. Ensures an ongoing ability to provide sound compliance advice.

Training and Communication
Works with Senior Counsel to strategize, develop, and deliver training and communications to ensure the efficient operation of risk management programs.

Corporate Governance and Legal Documentation
Drafts various corporate governance documents and legal records, including, without limitation, consents, operating agreements, internal services agreements, and other corporate documents.

Other Duties as Assigned
Additional functions and requirements may be assigned by supervisors as deemed appropriate.

Requirements:
Education:
Juris Doctor required.

Demonstrated Skills/Abilities/Competencies
  • 10+ years of relevant legal experience, including at least 2 years of relevant in-house experience
  • JD and strong academic credentials from an ABA-accredited law school and current bar admission in at least one state bar, preferably TN
  • Previous professional experience and proven success with a rapid-growth company preferred
  • Outstanding critical thinking
  • High ethical standards

  • Experience with corporate transactions and private equity
  • Experience negotiating and drafting various corporate agreement, including software, data, and privacy agreements
