About the role:
A Computer & Network Security Company seeks a motivated and dynamic Corporate Counsel or Senior Corporate Counsel to join our legal team. You will act as a business-oriented and collaborative legal team member with a clear focus on enabling the company's objectives. You will partner closely with various departments to understand business objectives and translate legal requirements into actionable business strategies. This role is perfect for someone with a deep understanding of SaaS and partnership ecosystem contracting, who finds success through relationship building and has a strong foundation in tech-related certification and regulatory areas (such as privacy, int'l corporate entities, policy upkeep and employment), with sensibility for establishing benefitting legal operations. As the third member of our legal team, you will report directly to the Head of Legal and play a critical role in shaping the legal framework that supports and contributes to the strategic direction of our legal and business practices. This is a hybrid role based in Mountain View, CA.

Responsibilities:
  • Provide expert legal advice and guidance to internal stakeholders on a wide range of legal issues, including but not limited to corporate governance, commercial contracts, regulatory compliance, privacy, and employment matters.
  • Act as a trusted advisor to all levels of the organization by leveraging your knowledge of their objectives, challenges, and legal needs to provide strategic legal advice and partnership to support business initiatives
  • Review, draft, and negotiate various contracts and agreements, including commercial contracts, focusing on outbound SaaS agreements and strategic partnerships, vendor contracts, and routine agreements such as NDAs, DPAs and amendments/addendums.
  • Collaborate with governance, risk, and compliance teams to mitigate legal risks and align with corporate governance structures.
  • Support the HR team by advising on employment laws and helping navigate the legal aspects of human resources.
  • Contribute to legal operations, maintaining systems and processes that enhance departmental efficiency.
  • Build and maintain strong relationships with business stakeholders, positioning yourself as a trusted advisor and leader within the organization.
  • Manage work by and collaborate with outside counsel.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school and admission to the CA state bar.
  • Minimum of 6 years of experience practicing law, preferably in a tech-company legal department
  • A strong sense of ownership, desire to make a cross-functional impact, eagerness to learn, and customer orientation.
  • Strong understanding of corporate law, commercial contracts, regulatory compliance, and governance.
  • A proactive, forward-thinking approach, ready to support the business in achieving its strategic goals.
