Description:

Data Privacy Transactions Counsel will support A Publicly Listed American Corporation including Sales, Business Units, HR, IS, MarCom, and Finance on matters involving data privacy laws and security standards applicable to use and international transfer of personal data, and other regulatory and compliance matters. Legal support will include drafting, revising, and negotiating commercial contracts with data privacy and network security terms such as sales, purchasing, technology licensing, cloud vendor (e.g., SaaS), and intercompany contracts; drafting, updating, and implementing data privacy, security, and other compliance policies, procedures, guidelines, and training; supporting M&A activities, post-M&A integration, and other corporate initiatives, as needed.

Requirements/Qualifications:
  • J.D. from ABA accredited law school and licensed to practice law in a U.S. state
  • Undergraduate B.A. Business or similar degree highly desirable
  • Excellent academic credentials
  • Minimum of 5 years' experience practicing law
  • Minimum 3 years' contract negotiation experience, including cloud vendor contracts with GDPR-related personal-data processing terms.
  • Minimum 3 years advising on data privacy law with direct experience applying GDPR requirements, including international data transfers, legal-basis analysis, controller-processor-joint controller analysis and contracting, and cookies/analytics/similar technology compliance.
  • Experience handling variety of data privacy and protection, network security, ethics, and other regulatory and compliance matters, as well as interfacing with government agencies, regulators, customers, and/or cross-functional teams
  • Prior experience representing publicly traded technology companies a plus
  • Must have a high level of integrity, initiative, and professionalism
  • Must have a high attention to detail and the ability to explain complex matters in a clear and concise manner
  • Successful candidate exhibits strong business acumen, is a proven team player and consensus builder, and takes a business approach to law and problem-solving
  • Must be a flexible self-starter and proactive problem solver who can work independently while handling significant, direct client contact
  • Excellent written and verbal communications skills
  • Strong organizational skills and follow-through required
  • Computer skills (e.g., Microsoft Office Suite, e-mail, and internet) are required
  • Some domestic and international travel may be needed from time to time
