Description:
Position Summary:The Corporate Counsel and Director of Compliance provide legal advice and representation in corporate legal affairs and oversee internal compliance efforts.
Essential Functions:
Corporate Counsel
- Counsels and advises key internal stakeholders on matters and cases involving requirements of applicable laws, regulations, and guidance.
- Manages the organization's business entity registrations, including state charity filings and required corporate business filings
- Engages and supports staff concerning legal issues
- Drafts and negotiates contracts (NDAs, capital transfers, commercial leases, license agreements, IP agreements, independent contractor agreements, etc.)
- May serve as legal representative of An Education Administration Programs Company with external groups regarding legal issues.
- Manages, organizes, and maintains the organization's executed contracts.
- Oversees and updates the Legal Services site on SharePoint, including updating and maintaining the standard operating procedures, contract templates, policies, and compliance documents.
- Conducts legal research, drafts memoranda, administrative agency pleadings, and settlement agreements.
- Takes appropriate legal steps to protect An Education Administration Programs Company's intellectual property.
Director of Compliance
- Directs and manages day-to-day compliance functions to support the overall development, maintenance, and management of compliance with An Education Administration Programs Company policies, applicable law, and grant/contract terms; mitigates risk.
- Ensures enterprise-wide programs and operations comply with all legal and regulatory requirements.
- Advises and trains staff and management on compliance issues involving requirements of applicable laws, regulations, and guidance.
- Oversees the organization's grant compliance program.

Qualifications:
- Juris Doctorate from an accredited law school
- Good standing in a U.S. State Bar or the District of Columbia
- Highly organized with a high level of attention to detail
- Excellent written and oral communication skills; must be confident and clear while making presentations of complex matters.
- Experience conducting legal research and writing legal memoranda on various matters.
- Must be able to maintain the confidentiality of privileged information.
- Highly developed organizing, listening, and analytical skills.
- Should be motivated and a self-starter with sound judgment.
- Experience with Microsoft Office (Word, Outlook, PowerPoint) and Acrobat Pro
