Description:

The Corporate Counsel – Contracts will provide legal support to the overall business of A Real Estate Investment Trust Company in various contractual matters. The Corporate Counsel – Contracts will join the company's in-house legal department and provide legal counsel ranging from day-to-day tasks to the support of larger strategic transactions and initiatives. The ideal candidate will enjoy working in a dynamic environment, demonstrate an ability to learn about the company's business and take on new challenges, possess strong critical thinking and analytical skills, and offer creative and pragmatic solutions with respect to legal and business issues.

Responsibilities:
  • Draft a wide array of general corporate agreements, including non-disclosure agreements, services agreements, license agreements and other commercial contracts;
  • Act as a key partner and legal resource for the business in contract negotiations and negotiation strategy
  • Contract execution and management including drafting and reviewing a variety of agreements (both U.S. and international) with customers and suppliers, in partnership with vendor management and the business;
  • Work closely with the vendor management team to manage contracts pipeline, including prioritization and tracking of status with business teams;
  • Act as a key partner and legal resource for the business in contract negotiations and negotiation strategy
  • Analyze legal issues relating to information and data security, protection of consumer information, and limitations of liability;
  • Assist with the company's the mortgage servicing program, including drafting and negotiating term sheets, purchase and sale agreements, engagement letters, custodial agreements, mortgage loan subservicing agreements, and various related documents;
  • Act as a key partner and legal resource for the business in contract negotiations and negotiation strategy
  • Provide legal support for other corporate and business initiatives as necessary.

Qualifications:
  • JD from an ABA accredited law school and excellent academic credentials;
  • State Bar membership in one or more states;
  • 3-5 years of corporate and/or transactional law experience;
  • Strong legal and technical skills in drafting and negotiating contracts;
  • Excellent oral and written communication skills;
  • Attention to detail and the ability to manage a high volume of contractual matters;
  • Ability to work effectively in a fast-paced, dynamic and complex environment; and
  • Versatility, maturity and ability to work both independently and as part of a team.
