Position Summary:
Reporting to the Chief Legal Officer, this position will support the Company's Chief Supply Chain Officer and their broader team. The Associate General Counsel, Operations and Supply Chain will provide practical advice and counseling on a full range of issues, including those related to contract negotiations, trade compliance, customs, environmental matters, real estate, and strategic transformations. In addition to possessing the requisite legal and technical skills, the candidate must also be able to execute good business judgment, easily work with others and have a strong desire to be part of a team.

Duties and Responsibilities:
Contract Negotiation and Management
  • Work closely with the direct and indirect sourcing teams to draft, review, and negotiate a wide variety of operations and sourcing-related contracts and agreements, including construction agreements, procurement contracts, service agreements, and transportation contracts.
  • Ensure contract terms and conditions comply with legal requirements, protect the Company's interests, and promote efficient supply chain operations.
  • Collaborate with internal stakeholders to ensure contract terms align with business objectives and mitigate legal risks.
  • Help maintain and update contract templates from time to time to reflect best practices.

Transformation Support
  • Work closely with the operations strategy team on proposed transformation efforts to help identify legal considerations, ensure compliance with applicable laws and regulations, and identify and mitigate potential risks.
  • Conduct legal due diligence to identify any legal obstacles or risks associated with proposed transformations.

Regulatory Compliance
  • Stay updated on relevant laws, regulations, and industry standards impacting supply chains and global operations. Establish proactive strategies for compliance.
  • Provide legal guidance and support on a variety of trade compliance and customs matters, including import/export regulations, valuation, country of origin, customs requirements, sanctions, and tariffs.
  • Advise on environmental matters and ESG initiatives.

Real Estate
Provide sound and practical legal advice on various real estate matters, including acquisitions, divestitures, and commercial leases.

General:
  • Provide strategic and business focused advice to the operations team.
  • Engage and efficiently retain outside counsel when needed.
  • Identify opportunities for efficiencies and process improvements.
  • Collaborate with cross-functional teams to ensure legal practices in the areas of operations and sourcing align with organization goals and promote synergy.
  • Contribute to the management of the Legal Department workload by handling additional matters as needs arise.

Qualifications:
  • 10+ years of relevant legal experience, preferably gained in both law firm and in-house roles.
  • Juris Doctor degree required.

  • Ability to manage outside counsel for cost-effective delivery of legal services.
  • Team and cross-functional player. Ability to collaborate, build relationships and work well with team members at all levels.
  • Must be able to travel up to 5%.
