Medulla currently provides support and services to three comprehensive chiropractic care brands, Chiro One Wellness Centers, MyoCore Personalized Pain Care, and CORE Health Centers, all industry leaders in evidence-based, patient outcomes-centered care.

As the largest privately-owned chiropractic organization in the country, with clinics under management in multiple states and a rapidly expanding footprint, Medulla provides management resources to these organizations with full-scale experienced teams of professionals and specialists including marketing, clinical operations, legal, revenue cycle, human resources, IT, real estate, facilities maintenance and more.

How you can make a difference:
We are seeking a motivated, independent, business savvy corporate generalist and transactional practitioner who will dive deeply to understand our business model and objectives and work closely with the management team and our support functions to execute on various major company initiatives. The Assistant General Counsel will be a key member and leader of Medulla's Legal Services Department, with a special focus on major contract drafting, review and negotiations, managing legal issues in day-to-day operational matters that occur at Medulla's managed chiropractic clinics and corporate offices, regulatory/ administrative matters, and litigation. Additional responsibilities include providing guidance and advice on real estate and general corporate matters.

The successful candidate will have a proven track record of business contract review and negotiation, mergers and acquisitions, and litigation, in addition to general corporate law expertise. He/she will seek to understand the applicable laws and regulations of our business in order to provide sound advice and counsel. He/she will be collaborative with stakeholders, partners and customers to effectively support the needs of the business.

What You'll Be Doing:
  • Provide “second chair” to the General Counsel in departmental leadership as needed in the General Counsel's absence
  • Draft, review and negotiate real estate leasing transactions
  • Draft and negotiate chiropractor Employment Agreements and amendments
  • Review and negotiate service partner (vendor) contracts, including IT and Marketing, to ensure terms are reasonable and within the company's risk tolerances
  • Handle litigation/potential litigation, administrative agency/regulatory matters
  • Corporate formation and maintenance filings and document preparation
  • Advice and counsel on day-to-day operations matters at the clinical or corporate levels, including HIPAA and other patient care issues
  • Advice and counsel to Compliance, Revenue Cycle/Billing and Marketing
  • Provide support to the General Counsel and Legal Assistant
  • Drive a departmental culture of continuous quality and process improvement
  • Support executive leadership on ad hoc projects and initiatives

What You Will Need To Be Successful
  • Self-sufficient practitioner who proactively and preventively approaches issues considering multiple different perspectives from a 360 degree analysis
  • Ability to strike sensible and practical balance between legal risks and sound business judgment
  • Significant demonstrated experience in business operational environments and proficient at managing multiple different day-to-day challenges and problems that may arise
  • Excellent independent judgment, high attention to detail, strong analytical skills, and ability to handle sensitive and confidential information
  • Experience in handling real estate leasing transactions
  • Experience with interacting at senior levels with business management and professional customers and stakeholders
  • Adept at working in a fast-paced, high-volume environment
  • Strong ability to listen, provide perspective and context, and influence results
  • Excellent verbal and written communication skills to effectively work with various departments and levels within Medulla (including senior management) and manage cross functional teams, including Clinical Operations, Finance and HR
  • Ability to handle ambiguity, manage many matters simultaneously and quickly pivot from one situation or task to another
  • Computer proficient, as well as in online legal research
  • Solution-oriented; thinks outside of the box in confronting new issues and pursuing novel approaches to old problems

Education, License & Certifications, Work Experience
  • License to practice law in the State of Illinois; licensure in other states would be a plus
  • 7-10 years or more of both in-house and law firm practice in general corporate and business operations, real estate, vendor contracts, and litigation
  • Prior practice in several different diverse business environments and industries
  • Knowledge and experience in for-profit healthcare (especially regulatory/administrative matters, such as HIPAA and the corporate practice of medicine) is strongly preferred
