Job Summary:
The Office of the Corporate Secretary is responsible for corporate governance matters and support advising on matters relating to the company's subsidiary management, public disclosures, annual meeting of shareholders and proxy statement, executive compensation, and environmental, social, and governance (ESG) matters. The role reports to the Company Secretary and Chief of ESG & Employment.

This role is hybrid based in Warren, NJ working 3 days a week in the office, 2 days remote.

Responsibilities:
  • Assist in the preparation and review of the company's public disclosures and SEC filings, including 10-Ks, 10-Qs, 8-Ks, with emphasis on proxy statements and ESG reporting.
  • Advise on complex securities law compliance and disclosure matters, with emphasis on governance and investor-facing disclosures.
  • Support enterprise-wide environmental, social and governance projects, policy setting, and ESG reporting under mandatory and voluntary frameworks
  • Tracking and monitoring of global regulatory developments related to Sustainability
  • Engage with corporate and segment stakeholders on development and implementation of both mandatory and voluntary Sustainability-related reporting initiatives
  • Support shareholder engagement efforts, including coordination of annual shareholder meeting.
  • Advise on investor relations matters, including review of earnings announcements, earnings scripts, press releases, investor presentations, and other communications.
  • Assist with corporate compliance with applicable securities laws and NYSE regulations
  • Conduct research into a variety of securities and governance-related issues.
  • Assist the corporate secretary function and provide legal counsel on the development, implementation and maintenance of corporate policies, governance processes and procedures, draft resolutions, and relevant disclosure controls and procedures
  • Serving as key partner and advisor to multiple functions across the organization, including Finance, Corporate Tax, Treasury, and Risk Management.

Qualifications:
  • A minimum of 7 years of securities experience, ideally with a combination of experience at a top-tier law firm and in-house at a publicly listed company.
  • Corporate and transactional experience with SEC rules and NYSE rules, particularly as they apply to public company disclosures.
  • Emphasis on SEC and regulatory compliance, corporate governance, and shareholder engagement.
  • Experience drafting and editing corporate governance documents, such as Committee charters and Board presentations.
  • Strong knowledge of environmental, social and governance (ESG) issues, trends and regulations.
  • Juris Doctorate from an accredited law school.
  • Admission to NJ or another State Bar eligible for NJ in-house limited law license.
