Associate Counsel:
Remote to start, with the potential for headquarters and satellite offices in the future

A New, Purpose-Built, Non-Profit Entity is a new non-profit consortium created to operate the National Semiconductor Technology Center (NSTC) established by the CHIPS Act. We are bringing together industry, academia, and government to solve the most pressing challenges facing semiconductor research, development, and workforce training. Our efforts will re-establish American leadership in semiconductor technology and secure critical supply chains.

As an Associate Attorney at A New, Purpose-Built, Non-Profit Entity, you will be a key member of our legal team, reporting to the General Counsel and providing support on a wide range of matters, including complex business transactions related to the A New, Purpose-Built, Non-Profit Entity programs, intellectual property licensing, and general non-profit grantmaking and business activities. With your strong legal acumen and adaptability, you will play a crucial role in helping us navigate complex legal landscapes as we work to shape the future of the semiconductor industry.

Responsibilities:
  • Draft, review, and negotiate a variety of complex and routine agreements, including license agreements, R&D agreements, grant agreements, NDAs, services agreements, equipment and real property leases, procurement contracts
  • Provide legal guidance and support to cross-functional teams on a broad range of legal and policy matters related to nonprofit governance, government contracting and compliance, grantmaking, research and development, business transactions, and other matters
  • Assist with the development and implementation of internal policies and procedures to ensure compliance with applicable laws and regulations
  • Conduct legal research and analysis to support decision-making and risk assessment
  • Support A New, Purpose-Built, Non-Profit Entity business units through contract template and playbook development, contract interpretation and guidance, and training for A New, Purpose-Built, Non-Profit Entity leaders and employees
  • Develop and support the creation, implementation, and improvement of processes, policies, and procedures, both for A New, Purpose-Built, Non-Profit Entity as a whole and for its legal office.
  • Support special projects and initiatives as needed, demonstrating flexibility and a willingness to take on new challenges
  • Collaborate with external legal counsel as required

Required Skills and Experience:
  • J.D. from an accredited law school and admission to practice law in at least one U.S. state
  • A minimum of 3 years of related experience, including in-house experience of law firm experience
  • Strong experience in drafting, reviewing, and negotiating commercial contracts and transactions, such as research and development contracts, services and consulting agreements, licensing or technology agreements, government contracts or grants
  • Excellent analytical, problem-solving, and communication skills
  • Ability to work independently and collaboratively in a fast-paced, dynamic environment
  • Superior organizational skills and ability to effectively manage projects
  • Excellent verbal and written communication skills
  • Commitment to integrity, ethics, and the mission of advancing U.S. semiconductor leadership

Preferred Qualifications:
  • Experience working with non-profit organizations or public-private partnerships
  • Exposure to government contracts or grants
  • Exposure to the technology or semiconductor industry
  • Experience developing and advising on compliance policies
