Description:

We are currently seeking an Associate Counsel to work on a variety of corporate and securities law matters at our office located in the Metro Atlanta area. Candidates must have a minimum of 2-3 years of law with contract review experience a must, solar industry, construction industry a plus. Compensation will be based on years of direct, relevant experience as well as education. Must be able to pass a drug, reference, and background check. We are excited about the growth in the EV space as well as the government interest in EV infrastructure and are committed to doing what we can to promote the industry. Key responsibilities include but are not limited to:
  • Drafting, reviewing, and negotiating contracts, including licensing, independent contractor, and master service agreements
  • Analyzing and summarizing simple and complex legal documents, including contracts, and suggesting necessary revisions to such documents
  • Engage in due diligence, drafting and negotiating deal agreements for major corporate transactions, such as asset transfers and purchases,
  • Actively managing deal process and execution for major corporate transactions
  • Providing support on real estate transactions, such as commercial lease review and negotiation, lease amendments, and related transactions
  • Advising the firm's clients on numerous matters, such as regulatory compliance, contracts, transactions, and finance.

Requirements:
  • An undergraduate degree and JD are required.
  • A minimum of 5 years' experience in related legal experience with broad knowledge of commercial law, legal entities, intellectual property, or general corporate law.
  • Member in good standing of a state bar association.
  • Experienced lawyer with strong legal analytical skills and practical business orientation.
  • Capable of working effectively across global organizational and geographic boundaries.
  • Initiative and ability to identify risks and manage them effectively.
  • Strong interpersonal and communication skills and a collaborative team player.
