The Assistant General Counsel – SEC Reporting & Disclosure provides critical legal advice and support for the Company's SEC filings, NYSE listing standards and related shareholder disclosures!

Location Preference:
While this role is remote, we are seeking candidates who have the ability to drive within reasonable distance or a quick flight to A Distributor of Plumbing Supplies Company's Headquarters in Newport News, VA. On occasion, in person meetings and collaboration will take place.

This position is a direct report to the Director & Deputy General Counsel – SEC Reporting & Disclosure and supports the Corporate Secretary's Office, Chief Accounting Officer, and Investor Relations/Communications/ESG functions.

Duties and Responsibilities:
  • SEC Filings/NYSE Listing Standards –
  • Assist in the drafting and reviewing of the Company's SEC filings, including on Forms 10-K, 10-Q, and 8-K, proxy statements and other filings.
  • Provide day-to-day legal advice and support regarding a range of the Company's activities related to public disclosure and securities law related matters, including compliance with stock exchange rules, securities rules and regulations, internal disclosure policies and other matters.
  • Research corporate and securities law matters and corporate governance best practices as needed.
  • Collaboration – Collaborate across functions with the Corporate Secretary, Finance, Investor Relations, ESG and Communications teams on corporate disclosure matters.
  • Corporate Communications/Reg FD – Review investor disclosures, including earnings releases and investor presentations, and advise other functions regarding related disclosure matters.
  • Corporate Governance/ESG Disclosure –
  • Assist in the drafting and reviewing public disclosures related to ESG issues of importance to our shareholders.
  • Develop Board materials on governance and disclosure matters.
  • Assist in the development and implementation of appropriate policies and procedures related to effective shareholder disclosures and engagement that align with applicable disclosure requirements and address emerging trends and best practices.
  • Awareness Training – Provide guidance, advice, and engaging training programs to improve the business' understanding of relevant legal and regulatory requirements.
  • Other Responsibilities –
  • Support other compliance activities performed by the Legal - Corporate team.

Qualifications:
  • J.D. from a reputable U.S. law school; active Bar membership in the U.S.
  • At least 3 years of legal experience, with at least 2 years of securities law, public company and corporate governance experience.
  • Experience providing legal advice on federal securities laws and requirements in a law firm or corporate law department or at the Securities and Exchange Commission.
  • Staying current on applicable federal securities laws and disclosure requirements and NYSE listing requirements that may affect the company and be comfortable with transition and change.
  • Superior oral and written communications skills, including comfort and confidence interacting with executives and external partners.
  • Build constructive working relationships with legal team and other functions and operate as an active member of both legal and other teams.
  • Precision and careful attention to detail.
  • Ability to work in a fast-paced environment.
  • A positive attitude and a desire to grow and change with the business.
  • Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure.
  • Experience maintaining public company reporting processes and procedures preferred.
  • High proficiency with Microsoft Office products (Teams, Outlook, Word, Excel, PowerPoint, etc.) and ability to explore and quickly learn other software applications preferred.
  • Experience with Diligent and NYSE Listing Manager preferred.
