Key Responsibilities The Associate General Counsel will lead and manage the provision of high quality, practical and business-oriented legal services with emphasis in the areas of acquisitions and dispositions, real estate matters, and corporate transactional matters (i.e. SEC filings).
Provide legal support and advice concerning a broad array of complex legal and operational issues.
Manage the acquisition and disposition process, including review of letters of intent, purchase and sale agreements, operations transfer agreements and other documentation as well as due diligence related to acquisitions and dispositions of senior living communities.
Handle various assignments in connection with asset management and real estate matters.
Assist with the review of Securities and Exchange Commission (SEC) filings (such as 10K, 10Q, and proxy statements).
Identify legal issues, provide legal options and analysis of possible legal solutions, and give recommendations for addressing critical issues so that business and legal objectives are met.
6-10 years’ experience in corporate transactional, securities and real estate matters, preferably at a mid-size or large law firm.
Member in good standing of the Massachusetts Bar, or the ability to waive into the Bar of The Commonwealth of Massachusetts, required.
Strong problem solving and decision making skills.
Excellent written and verbal communication skills, including general communications, contract drafting, legal writing, advocacy.
Ability to work independently and efficiently and to produce a high-quality work product.
Ability to thrive in a high energy, fast-paced environment.
Sound judgment, common sense, and excellent follow-through skills.
Ability to interact effectively with all levels of management.
Ability to maintain confidentiality.
