Description:
The Legal Department of JPMorgan Chase & Co. provides legal services and advice to the Firm globally. Legal is responsible for, among other things:
  • managing actual and potential litigation and enforcement matters, including internal reviews and investigations related to such matters
  • advising on products and services, including contract negotiation and documentation
  • advising on offering and marketing documents and new business initiatives
  • managing dispute resolution
  • interpreting existing laws, rules and regulations, and advising on changes thereto
  • advising on advocacy in connection with contemplated and proposed laws, rules and regulations, and
  • providing legal advice to the Board of Directors, the business and functions. Legal selects, engages and manages outside counsel for the Firm on all matters in which outside counsel is engaged.

Description:
The Legal Department is seeking a highly motivated attorney with approximately 6 or more years of experience to join the Corporate M&A Legal Group. The Corporate M&A Legal Group serves as a resource for all lines of business of JPMorgan Chase & Co. The Group supports traditional M&A transactions (including acquisition and divestitures of entities, businesses and assets, as well as joint ventures) and strategic and financial investments, in any event where JPMorgan Chase is a principal in such transactions. Members of the Group working on a transaction would be responsible for reviewing and/or negotiating a confidentiality agreement; drafting/reviewing and negotiating term sheets, letters intent and bid letters; conducting and/or coordinating a legal due diligence review; preparing/reviewing and negotiating transaction documentation, including merger agreements, acquisition agreements and transition services agreement; coordinating or otherwise participating in the closing of the transaction; and otherwise advising the firm on legal matters relating to the transaction generally. Members of the Group would liaise with business representatives, investment professionals and other lawyers in the Legal Department also involved in the transaction.

Qualifications:
  • JD degree or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements, including the requirements of the jurisdiction where the role will be located prior to commencement of employment.
  • 6 or more years practicing experience (post-JD) with strong experience practicing in the area of Mergers & Acquisitions
  • Strong interpersonal, analytical, organizational and communication skills
  • Strong writing skills
  • All candidates for roles in the Legal Department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
