Description:
The Legal Department of JPMorgan Chase & Co provides legal services and advice to the Firm globally. Legal is responsible for, among other things:
  • managing actual and potential litigation and enforcement matters, including internal reviews and investigations related to such matters
  • advising on products and services, including contract negotiation and documentation
  • advising on offering and marketing documents and new business initiatives
  • managing dispute resolution
  • interpreting existing laws, rules and regulations, and advising on changes thereto
  • advising on advocacy in connection with contemplated and proposed laws, rules and regulations, and
  • providing legal advice to the Board of Directors, the business and functions. Legal selects, engages and manages outside counsel for the Firm on all matters in which outside counsel is engaged.

JPMorgan Chase is seeking talented candidates for a position as an Assistant General Counsel for JPMC’s Consumer and Community Banking (CCB) Strategic Transactions Legal Team. The role reports to the Executive Director and Assistant General Counsel of the Strategic Transactions Team.

The role will involve the following:
  • Assisting with the drafting and negotiation of key strategic transactions for JPMC’s CCB line of business, primarily in support of any of the business teams within Card Services, Consumer Banking and Digital which may include:
  • co-brand card partnership agreements
  • Ultimate rewards and other partnership type agreements supporting Chase’s proprietary products
  • strategic partnership or service agreements with FinTechs/other technology firms
  • digital wallet agreements
  • data aggregator and data access agreements
  • other types of broad-based strategic partnership agreements with household brands (e.g. Starbucks, Intuit).
  • various types of agreements with payment networks
  • Providing strategic, commercially pragmatic and transparent advice to the business client as to the reasonableness or viability of any aspect of a transaction from a legal perspective.
  • Providing ongoing support and assistance to business clients, other legal teams and functional partners as to contract interpretation.
  • Collaborating with other functional partners to ensure appropriate awareness and escalation of issues as they arise while being sensitive to confidentiality restrictions.
  • Providing early stage “seat at the table” strategy and pre-term sheet legal support, including issue-spotting, researching and appropriately escalating risks and concerns that may exist with any potential deal type, for example anti-trust, anti-tying, fair lending, UDAAP, data, privacy and security concerns.
  • Participating in cross line of business initiatives/practice groups as a subject matter expert on issues like JPMC’s ability to make use of certain types of data under the contract terms negotiated with partners.
  • Managing external counsel when instructed to support a particular project (as much of the work is done in-house as possible).
  • Some travel, as required, e.g. to support in-person negotiations.

Qualifications:
In addition to the requisite legal credentials and experience, candidates should possess:
  • Around 5 - 8 years post-admission experience in a law firm or in-house
  • Attorney must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.
  • On point transactional experience with strong technical drafting skills
  • A good sense of humor and the ability to stay calm when the pressure is on
  • A proven ability to comfortably operate in a fast-paced, constantly changing environment
  • The confidence to be outspoken when necessary
  • The perseverance and patience necessary to work through ambiguity and see a matter through to completion
