Job Overview:
The role is responsible for providing legal support to Protara for SEC matters, Board of Director and corporate governance issues, licensing, contracts as well as providing legal expertise to the SG&A functions, Clinical Operations & Development, Medical Affairs (pre-commercial and post commercial areas) and any other internal group on how to maintain complete compliance with required laws, and regulations. This individual will be responsible for developing innovative and strategic solutions to complex legal and compliance issues and collaborating with external legal partners as needed to identify and handle legal issues affecting the Company.

Essential Duties and Responsibilities include the following (Other duties may be assigned):
  • Provides expert advice on securities laws, Board of Director and corporate governance, corporate secretarial and general corporate matters.
  • Leads legal preparation of and submits SEC filings and participates in development of investor relations documents and messaging.
  • Helps oversee and maintain current corporate records and filings.
  • Stays current on and advising the Board regarding governance­ related matters.
  • Drafts transactional agreements and works with Business Development to negotiate and execute transactions and assists in the evaluation of existing agreements.
  • Provides advice to internal client groups, including Human Resources, Finance, IT, Clinical Operations and Development, Medical Affairs (pre-commercial and certain post-commercial areas including publications), and Business Development about how to meet business goals while maintaining complete compliance with required laws, regulations, and company policy and procedures.
  • Drafts and negotiate various vendor, consulting, and other agreements for specified functional areas across the Company.
  • Effectively manage growing internal legal team.
  • Facilitate robust efforts to identify and execute expansion of intellectual property portfolio.
  • Lead and enhance working relationship with external counsel.

Education and/or Experience:
  • Juris Doctor required and admission to and in good standing with the bar of at least one state or the District of Columbia required.
  • A minimum of 20 years progressive legal experience required.
  • Previous law firm experience and in-house experience with a biotech or pharmaceutical company required.
  • Experience with SEC filings, corporate records and/or corporate governance required.
  • Supervisory Responsibilities: This position supervises Senior Legal Counsel.

Qualifications:
  • Must be proficient in MS Office Suite.
  • Strong SEC and corporate governance expertise are required.
  • Familiarity with federal and state pharmaceutical laws is an advantage.
  • General business and commercial law experience are required, including drafting, and negotiating a wide variety of contracts.
  • Broad understanding of the pharmaceutical and biotech industry is required.
  • Must have the ability to build trust and maintain open and honest relationships through clear communication, alignment of goals and mutually acceptable solutions.

Physical Demands:
The physical demands here are representative of those that must be met by an employee to successfully perform the essential functions of this job.
  • This position requires minimal travel; average travel for this position is 10% -15% with some variation based upon the demands of the business imperatives. Travel is for attendance at meetings and conferences.
