As a Staff Counsel, you will primarily be responsible for supporting our SaaS businesses and our Sales, Professional Services, Procurement and Partner organizations, by drafting and negotiating complex technology agreements, and assisting in the management of the company’s standard terms and conditions documents. Reporting to PTC’s Senior Corporate Counsel, you will work closely with the Company’s Sales, Finance, Deal Desk, Compliance, Global Services and Security teams to help drive deals with PTC’s customers and ensure consistent application of corporate policies and procedures. You will also help research and implement best practices for technology contracting. Finally, you will provide support to PTC’s Corporate Development, Procurement, and R&D organizations, including in the areas of strategic alliances, in-bound technology licensing, and vendor agreements.

Your Day-To-Day:
  • Support the Sales organization in the contracting process with customers
  • Review, draft, and advise others on a wide range of technology agreements such as cloud/SaaS agreements, software license agreements, partner agreements, services agreements, security agreements, and order forms
  • Serve as a point of contact for other departments, including Sales and Deal Desk
  • Support business teams in structuring and negotiating agreements with vendors
  • Provide legal counsel to business colleagues on legal questions relating to various business issues
  • Support other customer-related functions, such as purchase order review, customer representations and certifications, etc.
  • Represent the legal team on various company initiatives and projects, as required

Basic Qualifications:
  • Juris Doctor (J.D.) degree
  • 4 or more years of contract negotiation experience, with experience in technology licensing strongly preferred

Required Experience/Qualifications:
  • Membership in good standing of the Massachusetts Bar or other state bar associations
  • Clear, concise written, oral and interpersonal communication skills; ability to interact comfortably with senior leaders
  • Ability to work as a team-player
  • Exceptional organizational skills and attention to detail
  • Ability to work independently on multiple assignments in a fast-paced and dynamic business environment
  • Willingness to take on additional responsibilities and participate in projects as needed
