Staff Attorney - Corporate

As a Corporate Attorney at Latham, you will apply your experience and advanced degree education to provide the full range of legal services and skills across a broad range of corporate practice areas under only general supervision. You are not part of the Associate population or the partner track. You are a fee earning Attorney that will work on client matters, while accomplishing these and other critical functions:
  • Drafting and arranging UCC filings, amendments, extensions, and terminations relating primarily to secured transactions, and conducting computerized lien searches
  • Supporting Capital Markets, Private Equity, and M&A matters
  • Preparing and filing appropriate documents with the SEC (Section 16 filings, including Forms 3, 4 and 5, as well as applying for EDGAR filing codes, when necessary, and Form D and Schedules 13D/G)
  • Preparing closing checklists, coordinating closings, preparing signature pages, and following up on post-closing items, including preparation of related closing indices and binders
  • Forming and maintaining various business entities, including corporations and limited liability companies
  • Maintaining minute books and other corporate records, including capitalization information
  • Drafting corporate resolutions
  • Drafting and preparing minutes, consents, stock certificates, related transfer documents, officer certificates, and related basic corporate and commercial documents
  • Researching state corporate laws regarding foreign qualifications, blue sky compliance and other matters
  • Supervising paralegals and project assistants
  • Handling sensitive matters with finesse and discretion
  • Developing and coordinating with others in the fields of his/her expertise
  • Assisting with the preparation of business development presentations
  • Maintaining accurate timecards to account for hours worked in support of legal and firm matters
  • Acting within scope of authority in a manner consistent with firm guidelines, policies, and practices
  • Completing additional projects on various issues as needed
  • Promoting effective work practices, working as a team member, and showing respect for co-workers

As a Corporate Attorney, you will be expected to apply your organizational and communication skills while displaying a positive, high-energy attitude. The successful Attorney must have excellent leadership skills (e.g., organizing, planning, problem-solving, decision-making, and commitment to diversity). The ideal Attorney should possess strong communication skills, both written and verbal, as well as, strong technical writing skills, and proficient oral presentation and teaching skills. The Attorney must display well developed and professional interpersonal skills, along with the ability to interact effectively with people at all organizational levels of the firm.

A Bachelor’s degree and a JD from a three-year law school program are required Admitted to and in good standing with the California bar is required. A minimum of three (3) years of relevant experience is desired. Regular use of a computer and other electronic media, such as a PDA, is of critical importance.
