The Senior Manager of Legal at Evidation will be the primary person responsible for providing front-line legal support across all things corporate and commercial. Reporting to the Vice President of Legal, this role will help build out the legal function with best-in-class practices in mind and will work closely with members of Evidation’s Finance, Commercial, People, and Product teams to provide practical legal advice on day-to-day and forward-looking matters. The ideal candidate will have great judgment in balancing risk with business strategy and a proven ability to learn new areas and function independently. As a foundational member of the Evidation legal team, the Senior Manager will also help develop the culture of the legal team by exemplifying decency, dedication, and a commitment to finding solutions to difficult questions.

Responsibilities
  • Support all aspects of M&A transactions, including drafting and negotiating NDAs, term sheets, and definitive agreements; conducting due diligence; advising on deal structures; and helping with integration
  • Support all aspects of other corporate transactions, including debt and equity financings, secondaries, and capital marketings offerings
  • Advise on corporate governance matters, including developing board materials and creating/updating company policies
  • Support international expansion initiatives, including advising on intercompany agreements and managing foreign subsidiaries
  • Draft and negotiate commercial agreements
  • Build and promote contracting frameworks and processes
  • Support development and maintenance of Evidation’s intellectual property portfolio
  • Provide legal support for Evidation’s equity program, including managing securities law requirements
  • Assist in developing training and controls around regulatory compliance
  • Manage outside counsel on a global basis

Qualifications
  • JD from an accredited law school with legal license in good standing and active bar membership, preferably in California
  • 5+ years of relevant experience at a top-tier law firm or in-house at a technology or healthcare company
  • Experience in leading transactions from the legal side across all stages of the deal cycle and negotiating all relevant transaction documents
  • Excellent written and verbal communication skills
  • Demonstrated organizational and time management skills
  • Willingness to roll up sleeves - no job too big or small
  • Ability to collaborate cross-functionally, including with Finance, Commercial, People, and Product teams
