What does a Senior Legal Counsel do?
This role will sit within the North America Operations team and will collaborate directly with our UK based Group General Counsel and UK legal team. Reporting to the Head of Operations in the U.S. (with dotted line reporting to the Group General Counsel), you will be predominantly supporting the U.S. business across its entire range of activities. You will also provide occasional support to the Canadian team in conjunction with external counsel. As our first legal counsel hire in North America, you will be a self-starter as you will be the sole legal counsel in North America. Your role will entail the following:
Legal: Responsible for delivering legal support to all areas of the U.S. business. You will seek external support, where necessary. The key elements are comprised of:
  • Analyzing client and vendor contracts and managing associated negotiations;
  • Reviewing non-disclosure, data protection and privacy agreements;
  • Managing any disputes and litigation;
  • Protecting IP portfolio and advising on any issues relating to copyright, trademarks and web domain use;
  • Creating, revising and localizing global corporate policies to align to U.S. and Canadian regulations.

Training: Designing and delivering training to the organization in relation to key legal and compliance areas such as data protection, anti-bribery and conflicts of interest and liaising with the Group General Counsel to provide local input on Group level training.

Bids and Proposals: Advising on and reviewing tender documentation (RFPs) received from prospective customers and reviewing from the legal perspective responses to such tenders and (where applicable) providing advice on public procurement and contracting strategy and structuring options (e.g. subcontracting arrangements).

Risk Management: Advising the company on the risks, including litigation, of possible business decisions and offering advice on how to best manage those risks. In conjunction with the Group General Counsel creating and maintaining the North America risk register and presenting and communicating this to the BIT North America Board.

Data Protection & Privacy: Leading the advancement of data protection and privacy policies that are aligned to State and Federal regulations where BIT North America operates and assuring that these policies are being effectively implemented and managed across the organization.

Company Law and Corporate Governance: Initially supporting the Group General Counsel with BIT North America Board matters, governance and Corporate Secretarial responsibilities and providing advice, in particular on:
  • company law issues (Note: BIT North America is a C-corporation incorporated under the laws of New York); and
  • questions of fact and interpretation arising from the by-laws.

Employment: Supporting HR in relation to matters such as hiring contractors, revising employment contract templates and employment-related policies.

Managing External Counsel: Ensuring delivery of a cost-effective legal and compliance strategy with external counsel and managing associated legal budget.

Communications: In coordination with BIT’s global communications team, monitoring public statements made on behalf of BIT North America or any media publications to minimize legal exposure and protect BIT North America’s public image.

Processes and Compliance: Create and improve procedures and processes in the legal and compliance function e.g. creation of legal templates and guidance notes, assessment of innovative technological solutions and having overall responsibility for ensuring that BIT North America complies with its legal obligations.

What makes a great Senior Legal Counsel at BIT?
We are looking for candidates with the skills and qualifications listed below.

Qualifications: A JD or LLM from a leading accredited U.S. law school and a license to practice law in at least one U.S. jurisdiction which must include New York (or eligible for registered in-house counsel status in NY) with a minimum of 6 years experience at a reputable law firm and/or in-house (preferably an individual with some in-house experience).

Commercial: Experience in the commercial sector of managing/supporting corporate and commercial transactions, procurement and contracting processes. This could be gained within a private practice and/or in house.

Government contracting, procurement and government interactions: Ideally, knowledge and understanding of: (i) the operation of government contracts (Federal and/or state) and procurement processes, which may have been gained through experience within the public sector or through working on government contracts within the commercial sector; (ii) the Foreign Agents Registration Act (“FARA”) and federal and state lobbying laws.

Privacy: Experience of advising in relation to data protection law. Data privacy qualifications such as CIPP/US preferable.

Broad knowledge: Knowledge and understanding of a wide range of legislation including employment, data protection and contract/company law including the ability to source further research and expertise when required.

Innovation: A high level of innovative thinking and judgement to adapt to new demands where there may be no precedents, deal with complex/unusual business approaches, make quick risk assessments and determine the most appropriate course of action to take.

Influencing and negotiating: Strong influencing and negotiating skills used internally and externally with the ability to build relationships at all levels and work with the business to achieve its aims.

Flexibility and judgment: A high level of flexibility and resilience to meet the needs of a dynamic organization with ever more complex commercial arrangements combined with the ability to work autonomously with minimal direction and technical input, knowing when to take decisions and when to escalate.

Clear and convincing communications: You can explain complex topics in simple terms. You can lead a training session and write clearly and concisely.

Managing projects: You can manage your own time and have strong organization, project management and planning skills to manage high workloads and competing priorities to produce high-quality work at pace often acting autonomously.
