Provide effective counsel to internal clients and Company leadership on a variety of legal topics, facilitating business decisions
Work closely with senior management to identify and evaluate legal and compliance risks and develop policies and procedures in relation to the Company’s growth strategy
Draft, revise, and negotiate a wide range of commercial agreements, including customer contracts, vendor agreements, licenses, leases, etc., ensuring such documents capture the terms of the transaction while mitigating legal risks to the Company
Responsible for general legal matters pertaining to human resources, corporate governance, vendor contracts, intracompany arrangements, insurance programs and obtaining / maintaining required licenses
Build a scalable legal framework for customer contracts, including maintenance and enhancement of standard customer contracts and terms and conditions
Provide legal support on global compliance, including local laws and regulations, data privacy requirements (GDPR, CCPA), and AML/OFAC
Orchestrate product development efforts and delivery between teams, including UX, engineering, customer success, partner management, and marketing.
Handle general governance and maintenance of the Company’s corporate entity
Manage current and future intellectual property portfolio
Maintain an appropriate outside counsel network, engaging and managing the network as required
Education & Experience Required:
A Juris Doctor (JD) degree from a credentialed law school
Admitted into and in good standing with the bar of a U.S. state
7-10 years of commercial legal experience, with international transactions and fintech experience preferred
Knowledge and experience with contract negotiation and regulatory compliance in the SaaS and payments industries in the U.S., the E.U., Canada.
Direct experience in data privacy and AML/OFAC, including experience developing standards, policies, and programs and implementing them across an organization
Ability to explain complicated legal topics in simple business terms to internal stakeholders, the Board of Directors, and others
Able to weigh both legal and business risks when making recommendations
Strong organizational skills and ability to prioritize and manage multiple demanding projects
Willingness to ‘roll up the sleeves’ and tackle detailed problems while not losing sight of the big picture
