Role SummaryThe Senior Corporate Counsel, M&A and Licensing, will join a small, high-powered team of talented attorneys dedicated to the structuring, negotiation, execution and related legal support for Pfizer’s most significant strategic transactions, including mergers and acquisitions, divestitures, licenses, alliances and collaborations, joint ventures and other complex, high-value and high-profile transactions across all Pfizer businesses and geographies.
Role Responsibilities- Lead and coordinate the delivery of high-quality legal support for all types of business development transactions
- Counsel and provide legal support to Worldwide Business Development and Pfizer leaders in connection with business development opportunities as well as business operations and collaboration issues under existing and completed business development relationships and transactions
- Structure complex transactions and develop solutions to challenging legal and business issues arising in the deal context while appropriately managing risk and ensuring Pfizer gets the intended benefit of the transaction
- Draft, negotiate and interpret a variety of transactional agreements and documents
- Coordinate activities of matrixed team in business development transactions, working closely with a wide variety of internal legal and non-legal stakeholders and functional experts and external counsel and other advisors across throughout transaction process, from due diligence through closing
- Manage teams responsible for timely and flawless execution of large-scale transactions, including securities filings, regulatory approvals, integration planning, shareholder approvals and local deal implementation and operational readiness activities in multiple jurisdictions worldwide
- Manage outside counsel budget and usage for transactional/business development matters
- Support and contribute to Pfizer Legal Division projects and initiatives
Basic Qualifications- Strong academic background
- Juris Doctor degree or foreign equivalent required
- Member of State Bar
- At least ten years’ experience as a corporate or transactional attorney in a large national or international law firm and/or in-house legal department at a major corporation, preferably in the pharmaceutical or life sciences sector
- Broad corporate and transactional law experience, including extensive experience in public and private M&A transactions, securities, corporate finance and other corporate law matters
- Experience with intellectual property licensing transactions, particularly in the pharmaceutical or life sciences sector
- Excellent written and verbal communication skills
- Sound and practical judgment, as well as common sense
- Ability to work independently and under tight timelines and to plan, prioritize and organize multiple cross-functional tasks
- Strong leadership, analytic, organization and project management skills
- Candidate demonstrates a breadth of diverse leadership experiences and capabilities including: the ability to influence and collaborate with peers, develop and coach others, oversee and guide the work of other colleagues to achieve meaningful outcomes and create business impact
Preferred Qualifications- Experience as the primary or lead transactional attorney on complex M&A transactions
- Experience as the primary or lead transactional attorney on licensing and collaboration transactions in the life sciences industry
- Experience with cross-border M&A transactions, divestitures and/or large-scale legal entity restructuring programs (i.e., internal corporate reorganization projects)
- Experience drafting or negotiation ancillary transaction agreements, such as transitional services agreements
