Waypoint Residential, LLC d/b/a Waypoint Real Estate Investments (“Waypoint”), is seeking to hire an attorney with 5-9 years of law firm/in-house experience to assist in all legal matters, but with a focus on real estate transactions and securities offerings.
Waypoint is a vertically integrated real estate investment firm focused on the U.S. residential sector. Waypoint acquires and develops conventional multifamily, student housing and senior housing properties throughout the United States. Founded in 2011, Waypoint’s investment activity totals approximately $4 billion across more than 27,000 units. Waypoint is comprised of approximately 100 professionals in four offices with senior management averaging over 25 years of real estate investment and management experience through the U.S.
The attorney will be located in Boca Raton, Florida, and work closely with Waypoint’s Legal Group (currently consisting of the General Counsel, Associate General Counsel and one senior paralegal), as well as with acquisition, development, accounting, finance and tax professionals within the firm and with outside counsel. The work will involve assisting in the structuring and management of investments including review of due diligence materials, the review and approval of confidentiality agreements, term sheets, letters of intent, purchase and sale agreements, lease agreements, credit and financing agreements, intercreditor agreements, and joint venture agreements, as well as advising on all legal and regulatory issues that arise from securities offerings, investments, asset management and dispositions.
Law School Class and Experience
- Sophisticated law firm/in-house experience
- Northeast, Midwest, South and Southeast experience a plus
- Commercial real estate transactions
- Joint venture, development and acquisition transactions
- Capital markets transactions and offerings
- Familiarity with federal securities laws
- General corporate/limited liability company/partnership law experience
